Shares of Rite Aid (RAD - Get Report) tumbled on Thursday after the struggling pharmacy chain reported a fiscal first-quarter loss almost double from a year ago amid sluggish sales in its retail pharmacy and prescription segments.

Rite Aid stock plunged more than 10% in premarket trading on Thursday after the company reported an adjusted net loss from continuing operations of $7.5 million, or 14 cents a share, compared to adjusted net income of $1 million, or 2 cents a share, a year earlier.

Analysts polled by FactSet had been expecting a loss of 15 cents a share. Sales dipped to $5.37 billion in the quarter from $5.39 billion in the year-ago quarter.

The company did maintain its fiscal 2020 outlook, which assumes a continued decline in prescription reimbursement rates being partially offset by continued prescription count growth, improvements in drug costs and continued expense control.

Rite Aid said it expects to post a net loss of between $170 million and $220 million, and adjusted per share results of between a 14-cent loss and 72-cent gain on sales of between $21.5 billion and $21.9 billion.

US sues Rite Aid for missing opioid red flags

WASHINGTON (Reuters) - The U.S. government on Monday sued Rite Aid (NYSE:RAD) Corp, accusing the pharmacy chain of missing "red flags" as it illegally filled hundreds of thousands of prescriptions for controlled substances, including opioids.

In a complaint filed in Cleveland federal court, the Department of Justice said Rite Aid repeatedly filled prescriptions from May 2014 to June 2019 that were medically unnecessary, for off-label use, or not issued in the usual course of professional practice.

"The Justice Department is using every tool at our disposal to confront the opioid epidemic that is killing Americans and shattering communities across the country," Attorney General Merrick Garland said in a statement.

Rite Aid pharmacists were accused of ignoring obvious signs of misuse, including in prescriptions for "trinities," a combination of opioids, benzodiazepine, and muscle relaxants preferred by drug abusers for their increased euphoric effect.

The Justice Department also said Rite Aid intentionally deleted some pharmacists' internal warnings about suspicious prescribers, such as "cash only pill mill???", while admonishing them to "be mindful of everything that is put in writing."

"These practices opened the floodgates for millions of opioid pills and other controlled substances to flow illegally out of Rite Aid's stores," Associate Attorney General Vanita Gupta said.

Rite Aid is one of the country's largest pharmacy chains, with more than 2,330 stores in 17 U.S. states. It did not immediately respond to requests for comment.

The Justice Department accused Rite Aid of violating the federal False Claims Act by submitting false prescription claims to government healthcare programs such as Medicare and Medicaid.

It joined a whistleblower lawsuit filed in 2019 by two pharmacists and a pharmacy technician from Rite Aid stores in Pennsylvania, North Carolina and West Virginia.

The Justice Department occasionally joins whistleblower cases it considers stronger.

It has also sued Walmart (NYSE:WMT) Inc and drug distributor AmerisourceBergen (NYSE:ABC) Corp over their alleged roles in the nation's opioid crisis.

More than 500,000 people died from drug overdoses in the United States from 1999 to 2020, including more than 90,000 in 2020 alone, according to the U.S. Centers for Disease Control and Prevention.

The case is U.S. ex rel White et al v Rite Aid Corp et al, U.S. District Court, Northern District of Ohio, No. 21-01239.

Rite Aid shares plunge on news it is readying chapter 11 bankruptcy filing - WSJ

According to The Wall Street Journal on Friday, Rite Aid (NYSE:RAD) is getting ready to file bankruptcy in the next few weeks in a move that would halt the numerous federal and state lawsuits that the chain is facing over its supposed involvement in the sale of opioids.

Rite Aid shares have lunged almost 50% following the news, trading at $0.73 per share.

Citing people familiar with the matter, the WSJ states that the Chapter 11 filing will cover Philadelphia-based Rite Aid's debt load of over $3.3 billion and its pending legal allegations that it oversupplied prescription painkillers.

According to the report, the company has not reached a settlement with federal, state government, and private opioid plaintiffs regarding opioid liabilities that may result in a Chapter 11 filing. They are currently considering treating these claims as general unsecured claims.

Rite Aid is currently dealing with over a thousand federal lawsuits, which have been combined into a multidistrict litigation in Ohio. In addition, it faces a substantial number of similar cases that allege it contributed to the opioid epidemic.

The WSJ explained that "unsecured claims rank behind a company's collateralized debt in bankruptcy and share in the amounts left over after secured claims are paid in full."

Rite Aid has requested that the court dismiss the lawsuit filed by the department. It refutes the claims that it fulfilled illegal prescriptions for controlled substances. The company's reported bankruptcy filing would put the lawsuits on hold.
