(Reuters) -CoverGirl cosmetics parent Coty (NYSE:COTY) is moving forward with its plan to list on the Paris Stock Exchange which could take place as soon as the coming weeks, Bloomberg News reported on Thursday, citing people with knowledge of the matter.

The company has brought on BNP Paribas (OTC:BNPQY) and Citigroup (NYSE:C) to work on the deal and is considering raising fresh capital from the listing, the report said.

Coty is aiming to formally announce details of the plans as soon as the next few days and a listing could follow shortly afterward, according to the report.

Coty declined to comment on the report. The company's shares were up about 1% in afternoon trade.

The cosmetics and fragrance maker said in May it would explore a listing on the Paris Stock Exchange in a bid to bolster its presence in Europe and tap into new investors in the market.

The company on Wednesday raised its annual core sales forecast boosted by higher prices and strong demand, particularly in its high-end segment that houses cosmetics and fragrances from brands such as Hugo Boss, Gucci and Burberry.

Coty prices global shares at $10.80 ahead of Paris listing

(Corrects paragraph 2 to remove reference to Paris Stock exchange and say on Sept. 25 and not last week)

(Reuters) - Coty (NYSE:COTY) said it would price its global offering of 33 million shares at $10.80 per share, and the stock is expected to start trading on the Paris Stock Exchange at 9.30 a.m. Eastern Time on Thursday.

The CoverGirl cosmetics maker, which said in May that it would explore a dual listing in Paris, launched its global offering on Sept. 25.

The company's U.S.-listed shares have fallen about 7% since the launch, but were up marginally in premarket trade on Thursday.

The beauty company, which earns 45% of its annual net revenue from Europe, Middle East and Africa, said it plans to use the proceeds from the offering to lower the principal amount of its debt.

Last week, Coty raised its annual core sales forecast as consumers continued to spend on its higher-priced beauty and skincare products ranging from Hugo Boss and Burberry, despite persistent inflation.

Coty Inc. raises $356 million in second listing on Euronext Paris

US beauty and fragrance giant Coty (NYSE:COTY) Inc. has raised $356 million through a second listing on Euronext Paris, selling 33 million shares at $10.80 each, a 2% discount to Wednesday's close in New York. The shares began trading on the Paris exchange later on Thursday.

The decision by Coty, which has French roots dating back to its founding in 1904, to list in Paris underscores the city's growing appeal as a global center for luxury stocks. Major players in the sector, such as LVMH, L’Oreal SA, Hermes International (OTC:HESAF) and Kering (EPA:PRTP) SA, are traded on Euronext Paris, fostering an ecosystem of analysts and investors with deep industry knowledge.

Coty’s Chief Financial Officer Laurent Mercier stated that the company has recently drawn significant interest from leading investors across Europe, particularly in France. This recent influx of European investment is expected to ensure liquidity for the company's shares in Paris and diversify its shareholder base.

Mercier also noted that demand for Coty’s offering significantly exceeded the size of the share sale. He further outlined the company's plans to use the proceeds from the share sale to pay down debt and fund general corporate purposes, which include strategic investments in its business, working capital, and capital expenditures. This aligns with InvestingPro Tips that indicate strong earnings should allow management to continue dividend payments, and that the company has consistently increasing earnings per share. For more insightful tips, visit InvestingPro which offers additional 9 tips for Coty.

The offering was coordinated by BNP Paribas (OTC:BNPQY) SA, Credit Agricole (OTC:CRARY) SA, Citigroup Inc (NYSE:C)., and Banco Santander SA (NYSE:SAN). The shares of Coty's Class A Common Stock were admitted to listing and trading on Euronext Paris following approval by France's financial market authority, the Autorité des marchés financiers.

According to InvestingPro data, Coty has a market cap of 9420M USD and a P/E ratio of 18.84, with a revenue growth of 4.71% and gross profit margins impressively standing at 63.88%. The company's stock price took a hit over the last week with a -10.19% return, yet it still maintains a positive year-to-date return of 28.74%.

Coty also revealed plans to manage its outstanding share count through discretionary settlement of one or more of its outstanding total return swaps over the next six months. It did not disclose any definitive transaction at this time. The company, which is one of the world's largest beauty companies with a portfolio of iconic brands across fragrance, color cosmetics, and skin and body care, called its move a return to “the historic home of beauty.”

Coty Inc. makes debut on Paris Stock Exchange, intends to strengthen European presence

New York-based beauty conglomerate Coty (NYSE:COTY) Inc., parent company of brands like CoverGirl and Kylie Cosmetics, made its debut on the Paris Stock Exchange on Thursday. The company offered 33 million common shares at €10.28 ($10.80) per share. This move was part of Coty's strategy announced in May to strengthen its position in Europe and reach investors in the region through a dual listing.

According to InvestingPro's real-time metrics, Coty has an adjusted market cap of $9560M and a Price/Earnings ratio of 19.05, reflecting its profitability relative to its share price. The company's revenue growth over the last quarter of the fiscal year 2023 was 15.69%, indicating a positive trend in its financial performance.

On the first day of trading on Euronext Paris, Coty's stock remained stable, closing the day down about 0.1 percent to €10.39. The maker of CoverGirl and Lancaster products began trading on the exchange at 3:30 p.m. CET. Over the last week, the company's stock has taken a significant hit, with a one-week price total return of -10.19% as per InvestingPro Data.

The company, which is already listed on the New York Stock Exchange, had launched a global offering of 33 million shares of its outstanding Class A common stock as part of this plan for a double listing in Paris.

Coty chief executive officer Sue Y. Nabi explained the company's decision to explore a dual listing during an interview with WWD in May. She stated that European investors were interested in buying Coty stock and that the timing was right for such a move. "Eleven quarters in line or ahead of expectation is a good moment to start this," she said, adding that half of the market cap on the Paris Stock Exchange is made up of beauty and luxury companies, which aligns with Coty's business profile.

InvestingPro Tips suggest that Coty's strong earnings should allow management to continue dividend payments, despite the fact that it does not currently pay a dividend to shareholders. The company has been consistently increasing its earnings per share, and four analysts have revised their earnings upwards for the upcoming period.

Coty, founded in Paris in 1904, aims to use the net proceeds from this offering primarily to pay off outstanding debt and for general corporate purposes such as investments, working capital, and capital expenditures. This aligns with Coty's long-term goal of reducing debt following its acquisition of several Procter & Gamble beauty brands in 2016. As of June 30, the end of its most recent fiscal year, Coty's net debt stood at $4 billion, a significant reduction from nearly $9 billion in 2020.

BNP Paribas (OTC:BNPQY), Crédit Agricole Corporate and Investment Bank, Citigroup (NYSE:C), and Santander (BME:SAN Santander
are acting as joint coordinators and agents for the Paris Stock Exchange listing. For more insights and tips on Coty and other companies, check out InvestingPro which provides numerous additional tips to help investors make informed decisions.
