Obtaining access to the EBI reporting system
Intercapital Property Development ADSIC, a company incorporated and conducting business in the Republic of Bulgaria, registered with the Commercial Registry by the Bulgarian Registration Agency under number EIK 131397743, having its seat and registered address in Sofia, 7a Aksakov Street, floor 4 (hereinafter referred to as "ICPD") reports that on July 7, 2010 it was granted from the Warsaw Stock Exchange the access to EBI system for transmitting current and periodical reports.
Starting from August 3, 2010 onwards ICPD will publish its current and periodical reports via the EBI reporting system.
Reporting will be effected according to § 17 Section 3 of the the Alternative Trading System Rules NewConnect, as ICPD financial instruments are at the same time listed on a regulated market run by the Bulgarian Stock Exchange-Sofia.
The reporting will be effected in English only.

Decisions of the General Meeting of the Bondholders of ICPD, held on August 06, 2010
Intercapital Property Development ADSIC, a company incorporated and conducting business in the Republic of Bulgaria, registered with the Commercial Registry by the Bulgarian Registration Agency under number EIK 131397743, having its seat and registered address in Sofia, 7a Aksakov Street, floor 4 (hereinafter referred to as "ICPD") reports that on August 06, 2010 a General Meeting of the Company's Bondholders was held which took a decision for restructuring the liabilities under corporate bond issue with ISIN code BG2100019079 issued by Intercapital Property Development ADSIC through amendments in some of the parameters of the bond issue as follows:
1. Extension of the issue term with 36 months (reckoned from 14.08.2010 - till 14.08.2013);
2. The interest rate on the bond loan shall be amended to 9.5% per annum payable quarterly;
2.1. The interest amount that is due as of 14.08.2010 shall be paid out on this date at an unchanged interest rate (9%).
3. The schedule for the bond loan repayment shall be changed according to the minutes enclosed.
4. The Company is obliged to provide additional collateral for the bond issue and to meet other conditions according to the minutes enclosed.
5. The Company is entitled to repay partly or entirely the outstanding principal ahead of schedule. The repayment may be executed only on a date of interest payment and after making one-month prior notice to the bondholders. The minimum amount to be partially repaid ahead of schedule will be EUR 250,000 i.e. 5% of the full amount of the issue.

ICPD: Przenosiny na GPW jeszcze w tym roku

Już we wrześniu do bułgarskiego nadzoru finansowego trafić może kolejny prospekt emisyjny wczorajszego debiutanta z NewConnect, bułgarskiego Intercapital Property Development (ICPD).
Jak mówi Mikołaj Majster z doradzającego spółce biura maklerskiego Intercapital Markets, następne podniesienie kapitału spółki poprzedzi przenosiny na główny parkiet giełdy. – Pierwotnie planowaliśmy wejść na GPW bez przystanku na NewConnect. Jednak, by przyspieszyć cały proces, zdecydowaliśmy się na ten krok – mówi Majster.
Notowana również na giełdzie w Sofii spółka jest w trakcie finalizowania emisji akcji z prawem poboru. Pierwotny plan zakładał sprzedaż 19,3 mln akcji (dziś kapitał dzieli się na około 4,82 mln akcji) po cenie emisyjnej 3 lewa (6,1 zł). Majster szacuje, że w tym podejściu nabywców znajdzie około jedna czwarta z oferowanych akcji, zasilając kasę spółki kwotą do 30 mln zł.
– Liczymy, że przenosząc się na główny rynek warszawskiej giełdy, dotrzemy do szerszego grona inwestorów, szczególnie instytucjonalnych – mówi Majster. Pieniądze z emisji spółka chce przeznaczyć m.in. na zakup gruntów.Wczoraj akcje ICPD zdrożały na NC o 31,2 proc, do 8,16 zł. W Sofii akcje dewelopera kosztowały równowartość 6,24 zł.

Successful capital increase
The deadline for subscribing and paying new shares from the capital increase of Intercapital Property Development ADSIC closed on 18-Agust-2010. We are happy to announce that a total of BGN 3.6 million have been received in the escrow account for the increase. This will make the capital increase procedure successful. First - because it will meet the formal requirements for a successful capital increase. But successful mainly because:
- ICPD managed to raise a significant amount of new capital - representing about one third of the total funds raised so far by the company from shareholders.
- This is the biggest share issue of a Bulgarian property company for the last years.
- The company managed to attract new investors - natural persons as well as 3 institutional investors from Poland.
- It proves investors - existing and new - are confident in the company business model, the value of our assets and the quality of our management team.
After the new shares are duly registered the company capital will total around 6.0 million shares, which will represent a market capitalization of about BGN 20.0 million, based on current share prices.
In parallel to the capital increase, ICPD carried out a procedure for the dual listing of the company shares on the Polish stock market in Warsaw. The shares are traded on the NewConnect market since Wednesday 11-August. The first days of trading show a significant increase in the liquidity of the shares in Poland as well as on BSE - Sofia. On the first trading session in Poland the share price reached PLN 8.14, representing a premium of 30% compared to the price in Sofia. In the following trading sessions the price receded to about PLN 7.00 per share, which is still a 15% premium.
We intend to continue to develop our properties and projects with the same goal - delivering optimal results to our shareholders. In addition, our capital market related plans for the next 12 months include a listing on the Main Market in Warsaw as well as a potential new public offering.
