Shell Jumps on Report Third Point Owns Over $500-Million Stake

Investing.com – ADRs of Shell (NYSE:RDSa) rose 3.5% on Wednesday after a report in The Wall Street Journal that Third Points owns stake worth more than $500 million in the company and is pushing it to split.

The Journal reported that the activist hedge fund wants the company to carve its business into two – one running the legacy operations of oil and gas exploration and the other focused on renewables that need heavy investments.

Oil majors such as Shell, Exxon-Mobile and Chevron (NYSE:CVX) face increasing pressure from investors and green activists to reduce their dependence on fossil-fuel based business and disclose a clear roadmap to achieve the same. European companies like Shell have been quicker to respond compared to their American peers.

With ESG now at centerstage in most countries and corporate boardrooms, companies not doing so are having a tough time answering governments, regulators and activists.

Under a deal disclosed in August, BHP (NYSE:BHP) is handing over all its oil and gas assets to Woodside (OTC:WOPEY) Petroleum (ASX:WPL) against an equity stake in the Australian company. The deal doesn’t mark a clean departure for BHP from fossil fuels but at least reflects the pressure on such companies to take steps reflecting their commitment to the cause.

The New York Times: Co się stanie z Shellem?
Fundusz inwestycyjny Third Point, posiadający udziały Shella warte 750 mln dolarów, będzie się domagał rozbicia firmy na kilka spółek.


Według przedstawicieli funduszu, działając w obecnej formie, Shell nie odpowiada na potrzeby wszystkich akcjonariuszy. Podział spółki miałby umożliwić wydzielenie aktywów związanych z wydobyciem paliw kopalnych do odrębnej firmy, podczas gdy inna mogłaby zajmować się rozwojem OZE. – Spółka jest wyceniania o 35 proc. niżej od konkurencyjnego Chevrona czy Exxon Mobil, choć jej model biznesowy jest solidny i kładzie większy nacisk na zrównoważony rozwój. Dzieje się tak, ponieważ spółka stara się zaspokoić oczekiwania wszystkich akcjonariuszy – wyjaśnił prezes Third Point Daniel Loeb.

LONDON (Reuters) -Royal Dutch Shell (LON:RDSa) said on Monday it would scrap its dual share structure and move its head office to Britain from the Netherlands, pushed away by Dutch taxes and facing climate pressure in court as the energy giant shifts from oil and gas.

The company, which long faced questions from investors about its dual structure and had recently been hit by a Dutch court order over its climate targets, aims to drop "Royal Dutch" from its name - part of its identity since 1907 - to become Shell Plc.

The Anglo-Dutch firm has been in a long-running tussle with the Dutch authorities over the country's 15% dividend withholding tax, which Shell sought to avoid paying with its two share classes. Its new structure would resolve that issue.

In a further knock to its relations with the Netherlands, the biggest Dutch state pension fund ABP said last month it would drop Shell and all fossil fuels from its portfolio.

The Dutch government said on Monday it was "unpleasantly surprised" by Shell's plans to move to London from The Hague.

Shell's shares, which will still be traded in Amsterdam and New York under the plan, climbed more than 2% in London on Monday morning after the news.

"The current complex share structure is subject to constraints and may not be sustainable in the long term," Shell said, as it announced its plan to change its share structure.

The move requires at least 75% of votes by shareholders at a general meeting to be held on Dec. 10, Shell said.

"We see merits in the proposed restructuring of Shell's shares structure and tax residence. Among other benefits, the proposed changes will increase Shell's ability to buy back shares," Jefferies (NYSE:JEF) said in a research note.

Monday's move follows a major overhaul Shell completed this summer as part of its strategy to shift away from oil and gas to renewables and low-carbon energy. The overhaul included thousands of job cuts around the world.

CLIMATE ACTION

In May, a Dutch court ordered Shell to deepen its planned greenhouse gas emission cuts in order to align with the Paris climate deal which aims to limit global warming to 1.5 degrees Celsius. Shell has said it would appeal.

"If this decision will enable the company to be more agile in order to execute its transition to net zero, then it should be viewed positively," said Adam Matthews, chief responsible investment officer at Church of England Pensions Board, a Shell shareholder.

Matthews, who is leading talks with Shell on behalf of the investor group Climate Action 100+, said it should not remove Shell's responsibility to implement the Dutch court ruling.

Shell is also battling calls made last month from activist investor Third Point (NYSE:SPNT) for the firm to be broken up into multiple companies. Shell's top executives hit back, saying the businesses work better together.

Shell said of its latest plan: "The simplification is designed to strengthen Shell's competitiveness and accelerate both shareholder distributions and the delivery of its strategy to become a net-zero emissions business."

Dutch Prime Minister Mark Rutte and his coalition had planned to scrap the withholding tax in 2018 in order to retain the headquarters of Shell and Unilever (NYSE:UL), another Anglo-Dutch firm which has also now shifted to London. Dutch lawmakers opposed the move. Rutte had warned it could prompt firms to relocate.

Consumer products giant Unilever abandoned its dual Anglo-Dutch structure last year in favour of a single London-based entity.

Corporate giants are under growing pressure to simplify their structures with General Electric (NYSE:GE), Toshiba (OTC:TOSYY) and Johnson & Johnson (NYSE:JNJ) announcing plans last week to split into separate companies.

Dual listings, which are more expensive to maintain, are also falling out of favour. Miner BHP, like Unilever, has also called time on such a structure.

Brytyjsko-holenderska firma naftowo-gazowa poinformowała również, że usunie ze swojej nazwy „Royal Dutch” i stanie się Shell plc. Firma jest uwikłana w długotrwały spór z holenderskim rządem o 15% podatek u źródła od dywidendy, którego Shell chciał uniknąć poprzez dwie klasy akcji, a jego nowa struktura rozwiązałaby ten problem. Rząd holenderski powiedział, że jest "niemile zaskoczony" planami Shell dotyczącymi przeniesienia działalności do Wielkiej Brytanii. Wielki ruch Shell wymaga co najmniej 75% głosów akcjonariuszy do zatwierdzenia na walnym zgromadzeniu w dniu 10 grudnia. Rano notowania Shell wzrosły o 0,8%.

Royal Dutch Shell (LON:RDSa) stock fell 0.1% despite the energy giant stating it will channel $5.5 billion in proceeds from the sale of its Permian assets into a rapid stock buyback.

nvesting.com - Shell (LON:RDSa) reported on Thursday fourth quarter earnings that beat analysts' forecasts and revenue that topped expectations.

Shell announced earnings per share of €0.7347 on revenue of €75.49B. Analysts polled by Investing.com anticipated EPS of €0.5998 on revenue of €58.87B.

Shell shares are up 5% from the beginning of the year, still down 0.55% from its 52 week high of €23.68 set on February 3. They are outperforming the AEX which is down 4.98% from the start of the year.

Shell shares gained 1.42% in intra-day trade following the report.

Shell follows other major Energy sector earnings this month
Shell's report follows an earnings beat by Core Laboratories on Wednesday, who reported EPS of €0.177 on revenue of €110.78M, compared to forecasts EPS of €0.1753 on revenue of €106.56M.

Investing.com - Shell (LON:RDSa) reported on Thursday first quarter earnings that beat analysts' forecasts and revenue that topped expectations.

Shell announced earnings per share of €1.14 on revenue of €79.83B. Analysts polled by Investing.com anticipated EPS of €1.02 on revenue of €73.4B.

Shell shares are up 40% from the beginning of the year, still down 0.84% from its 52 week high of €27.27 set on May 5. They are outperforming the STOXX 600 which is down 9.52% from the start of the year.

Shell shares gained 2.64% in intra-day trade following the report.

Shell follows other major Energy sector earnings this month
Shell's report follows an earnings beat by Core Laboratories on April 27, who reported EPS of €0.0761 on revenue of €109.64M, compared to forecasts EPS of €0.0577 on revenue of €103.43M.

NEW YORK (Reuters) - Activist investor Daniel Loeb, who wants Royal Dutch Shell (LON:RDSa) Plc to break apart, applauded the energy giant's decision to move its headquarters even as he sticks to views that a different corporate structure would make it more successful.

Loeb, who said in October that his hedge fund Third Point LLC had taken a $750 million stake in the company, told his own investors on Friday that he has added to his Shell stake and has held discussions with management, board members and other shareholders.

The letter, which was seen by Reuters on Saturday, called the discussions "constructive" and said that the company's stock price is currently cheap but sees gains ahead with "proper management."

Loeb is holding firm to his view that the company could be more successful with a different corporate structure. However, he also supported Shell's decision to move its headquarters from the Netherlands to the UK and to create a single shareholder class.

"This move allows greater flexibility to modify its portfolio (either through asset sales or spin-offs) and allows for a more efficient return of capital, specifically via share repurchases," the letter said.

In October, Loeb said publicly for the first time that Shell would benefit from splitting its liquefied natural gas, renewables and marketing business into a separate company, dividing it from its legacy energy business. He wrote that many shareholders share this view.

Loeb's letter also said current geopolitical events underscore the strategic importance of reliable energy supplies, especially in Europe. "Shell’s LNG (liquid natural gas) business, the largest in the world outside of Qatar, will play a critical role in ensuring energy security for Europe," the letter said.

This is the first time Loeb has updated his clients on the Shell investment since first announcing it.

More generally Loeb said his firm has made additional investments in energy stocks and other stocks that will benefit during a period of higher inflation, supply shortages and shift toward more renewable sources of energy.

Third Point Partners' Fund lost 11.5% during the first quarter but the letter said the firm sidestepped more severe losses in April when its fund slipped 1% while the broader S&P 500 index dropped 8%.

Third Point exited some large equity positions and made a new investment in mining company Glencore (OTC:GLNCY) as the company is set to benefit from the transition to renewable energy. He expects the company will be able to catch up to others mining companies with its new management team an improved ESG profile, and "very strong cash returns to shareholders, and government settlements."

On the corporate front, Shell (LON:SHEL) stock rose 1.2% after the energy giant said surging margins from fuel production could have added more than $1 billion to the earnings of its refining business in the last quarter.

W środę Shell poinformował o planie rozpoczęcia budowy fabryki zielnego wodoru w Holandii. Zdaniem giganta energetycznego będzie to największy tego typu zakład w Europie.
