To pierwszy wyrok w pozwach zbiorowych przeciwko ubezpieczycielom dotyczących tzw. polisolokat i do tego od razu korzystny dla konsumentów. Zgodnie z orzeczeniem Generali będzie musiało zwrócić ponad 2,5 mln zł z odsetkami 165 klientom.

Italian insurer Generali confirms staggered dividend payout

MILAN (Reuters) - Italy's biggest insurer Generali (MI:GASI) on Friday said it would pay its 2019 dividend in two tranches, confirming a total payout of 0.96 euros per share, citing its strong capital position.

The announcement flies in the face of calls by industry regulator EIOPA for insurers and reinsurers in the European Union to suspend dividends and share buybacks and consider postponing bonuses to ensure continuity in services during the coronavirus pandemic.

Generali said it would pay a first tranche of 0.50 euros per share in May and that it plans to pay the remaining portion by the end of the year, subject to a board assessment of capital and regulatory requirements.

The company said it had taken EIOPA's recommendations into account and that its decision was consistent "with the fact that ... all of the conditions to proceed with the dividend distribution for 2019 continue to exist".

"Even if the final impact of the COVID-19 crisis is still uncertain, there is no reason to doubt the group's stability," it said, adding that its solvency ratio remains comfortably within the target operating range.

Germany's Allianz (DE:ALVG), the region's biggest insurer, told Reuters last week that it was in "good shape" and wanted to maintain both its dividend and a share buyback.

Generali's solvency ratio, a key measure of its financial strength, stood at 200% on March 6, compared with 224% at the end of 2019 - partly because of an acquisition in Portugal, but also because of falling prices for Italian government bonds.

The insurer held 63 billion euros ($68 billion) in Italian bonds at the end of 2019.

Italian bonds have been hit as the coronavirus crisis and a nationwide lockdown aimed at stemming contagion rock the economy, forcing the government to ramp up spending.

Generali also announced voluntary pay cuts at management level.

Chief Executive Philippe Donnet, the members of the group's management committee and other executives with strategic responsibilities have decided to reduce their fixed salary by 20% for the remainder of the year, the company said.

France's biggest insurer AXA (PA:AXAF) has postponed its annual meeting to allow time for discussions with European regulators, though draft resolutions to pay a dividend remain unchanged.

Generali's smaller domestic rival UnipolSai (MI:US) last week said that it would pay its planned dividend on 2019 results while parent company Unipol Gruppo (MI:UNPI) suspended its own dividend payment.

Generali, największy ubezpieczyciel we Włoszech, obecny również na polskim rynku, kupi 24,4 proc. udziałów w Cattolica Assicurazione, mniejszym rywalu z krajowego rynku, donosi Reuters.

Wartość transakcji szacowana jest na 300 mln EUR. Dotychczas największym inwestorem Cattolica był należący do amerykańskiego miliardera Warrena Buffetta wehikuł inwestycyjny Berkshire Hathaway z 9-proc. pakietem udziałów.

Generali profits beat forecasts led by asset management, non-life

MILAN (Reuters) -Generali beat first-quarter profit forecasts driven by its non-life and asset management businesses, as Italy's top insurer scouts for opportunities for further growth.

Generali (MI:GASI) has spent 1.8 billion euros ($2.2 billion) on targeted acquisition since 2019 and still has around 2.3 billion for merger and acquisitions.

"We continue to assess M&A opportunities with a disciplined approach as a way to diversify our sources of cash-flow," head of finance Cristiano Borean told a news briefing on Tuesday.

Borean said other options, including a share buyback, would be considered if M&A opportunities did not arise.

Despite robust earnings, CEO Philip Donnet has come under fire over the past year by some leading Italian investors who want the company to bulk up to better compete with larger European rivals.

Boardroom discussions over governance are expected to intensify as Generali prepares to appoint a new board in 2022.

Generali said in November it aimed to become a top player in asset management, where operating profits rose by 46% in the three months through March to 136 million euros.

Generali said it would continue to identify investment opportunities through the expansion of its "multi-boutique platform".

It reported a quarterly operating profit of 1.6 billion euros, up 11% from a year ago and above a company-provided analyst consensus of 1.5 billion.

Net profit also came in above analysts' consensus at 802 million euros.

It also confirmed all targets of its strategic plan including an EPS compound growth rate of 6-8% between 2018-2021.

The life segment proved resilient despite the current low interest rates environment thanks to the ongoing rebalancing towards unit-linked and protection lines, the company said.

"The growth in unit-linked (products) continues to surprise us positively and the high growth in asset management revenues is driving operating leverage," analysts at Jefferies (NYSE:JEF) wrote in a note.

Generali shares were up 1% as of 1100 GMT, outperforming the European insurance sector.

Generali's solvency ratio stood above 230% as of Friday despite the recent widening of the spread between Italian and German 10-year government bonds, Borean said.

Assicurazioni Generali Earnings, Revenue Beat in Q2

Investing.com - Assicurazioni Generali (MI:GASI) reported on Tuesday second quarter earnings that beat analysts' forecasts and revenue that topped expectations.

Assicurazioni Generali announced earnings per share of €0.5075 on revenue of €16.63B. Analysts polled by Investing.com anticipated EPS of €0.4852 on revenue of €15.5B.

Assicurazioni Generali shares are up 16% from the beginning of the year, still down 7.06% from its 52 week high of €17.92 set on May 18. They are under-performing the STOXX 600 which is up 16.85% from the start of the year.

Assicurazioni Generali shares lost 1.16% in intra-day trade following the report.

Assicurazioni Generali follows other major Financial sector earnings this month
Assicurazioni Generali's report follows an earnings beat by UniCredit on Friday, who reported EPS of €0.305 on revenue of €4.4B, compared to forecasts EPS of €0.28 on revenue of €4.26B.

Mediobanca had matched expectations on July 28 with fourth quarter EPS of €0.25 on revenue of €664.8M, compared to forecast for EPS of €0.25 on revenue of €646.4M.

Generali CEO wins board backing amid shareholder row

MILAN (Reuters) -The board of Assicurazioni Generali (MI:GASI) on Monday threw its weight behind the reappointment of Chief Executive Philippe Donnet, overlooking opposition from two leading shareholders in Italy's top insurer, two people close to the matter said.

Donnet's fate had been called into question by a boardroom row at Generali, Europe's third-largest insurer and one of Italy's most prized financial assets, just as the French manager prepared to present a new business plan in December.

The two sources said Generali's outgoing board had agreed by a majority vote to file a slate of nominees for shareholders to vote upon in the spring, including Donnet as CEO.

The decision was backed by nine of 13 members of the board, one of the sources said.

The source said the board would set up a dedicated committee to put together the list, with support from headhunters and legal advisers as well as oversight from Generali Chairman Gabriele Galateri.

Donnet's reappointment meets resistance from influential Italian businessmen Francesco Gaetano Caltagirone, 78, and Leonardo Del Vecchio, 86.

The two tycoons, respectively Generali's second and third largest investors, have criticised Donnet's merger and acquisition strategy as too timid.

On the contrary, top investor Mediobanca (OTC:MDIBY) backs a third mandate for Donnet, who has steered Generali through the COVID-19 crisis, keeping it on track to meet targets to the end of 2021.

Del Vecchio, founder of Ray-Ban owner Luxottica, and Caltagirone, a construction magnate, have been steadily lifting their Generali stakes, while also building holdings in Mediobanca, piling pressure on its boss Alberto Nagel.

Earlier this month Del Vecchio and Caltagirone announced an accord to consult over decisions concerning Generali, where they control a combined 12.5% stake after a third smaller investor recently joined their pact.

That threshold is not far from Mediobanca's 13% stake in Generali, which makes the insurer a major contributor to the profit of the Milanese investment bank, which last week borrowed more shares in Generali to reach 17.2% of the Trieste-based insurer's voting rights.

Del Vecchio, who two years ago rocked Italy's financial establishment by emerging as the biggest investor in Mediobanca, has criticised its reliance on the Generali stake.

Mediobanca has said it would keep the beefed-up voting stake in Generali until next spring's AGM, where shareholders will have the last word on the choice of CEO.

Institutional investors, which account for around 40% of Generali's shareholder base, will play a key role.

Del Vecchio and Caltagirone are ready to back an alternative list of nominees for the board's renewal, people with knowledge of the matter have previously told Reuters.

Generali closer to controlling Cattolica after Buffett tenders shares - source

MILAN (Reuters) - Warren Buffett's Berkshire Hathaway (NYSE:BRKa) has tendered its stake in Cattolica under a takeover offer by Assicurazioni Generali (MI:GASI), a source close to the situation said on Friday.

The move brings Italy's top insurer a step closer to controlling its smaller rival after Generali announced a 1.17 billion euro ($1.36 billion) buyout offer on Cattolica in May to further strengthen its domestic market leadership.

The Trieste-based company became Cattolica's single largest shareholder with a 23.7% stake last year, relegating Berkshire Hathaway to second place when excluding the 12.3% held by Cattolica itself.

Buffett's Berkshire Hathaway has tendered its 6.93%, the source said, confirming an earlier report by news agency Radiocor.

So far, 24.77% of the shares subject to the offer, or 18.9% of the total capital, have been tendered in the bid, which ends on Oct. 29, Borsa Italiana said in a statement without giving further details.

That implies that Generali would hold at least 42.6% of Cattolica, nearing the 50% plus one share threshold that the company has set as a condition of the offer.
