AB InBev największy koncern browarniczy przejmie drugiego na rynku SABMillera?
Gigantyczna fuzja browarów coraz bliżej, a AB InBev zbiera fundusze na transakcję. Niepokój SABMillera może jednak budzić to, że AB InBev znany jest z agresywnego podejścia do firm, które zamierza przejąć. Na razie wiadomo, że nie powiodła się próba obrony przed przejęciem przez zakup innego słynnego koncernu - Heineken. onet.pl

Za sprzedaż produktów, na których znajdują się komunistyczne symbole, na Węgrzech wkrótce może grozić grzywna, a nawet więzienie - tego domaga się Fidesz. Nowe prawo uderzy głównie w czerwoną gwiazdkę Heinekena.

Heineken Earnings, Revenue Miss in Q2

Investing.com - Heineken reported on Monday second quarter earnings that missed analysts' forecasts and revenue that fell short of expectations.

Heineken announced earnings per share of €-0.52 on revenue of €9.24B. Analysts polled by Investing.com anticipated EPS of €1.31 on revenue of €21,240M.

Heineken shares are down 15% from the beginning of the year , still down 23.28% from its 52 week high of €105.00 set on February 19. They are under-performing the AEX which is down 7.75% from the start of the year.

Heineken follows other major Consumer/Non-Cyclical sector earnings this month
Heineken's report follows an earnings matched by Unilever NV on July 23, who reported EPS of €1.24 on revenue of €13.3B, compared to forecasts EPS of €1.24 on revenue of €12.55B.

Tokyo, Oct. 28 (Jiji Press)--Asahi Group Holdings Ltd. <2502>, owner of Carlton & United Breweries, said Wednesday it will sell five CUB brands to Heineken NV.
The Japanese beverage group did not disclose the sale price for the brands, including Stella Artois, Beck's and Strongbow.

He will be replaced by the head of the company's Asia-Pacific region, Dolf van den Brink.
Under Van Boxmeer’s stewardship, Heineken consolidated its position as a global brewer, more than doubling in size.
Van Boxmeer has been nominated as a non-executive board member of Heineken Holding, which owns 50.005% of the brewer, Heineken N.V.

Heineken will reach a decision on Distell acquisition by end of September

Distell's CEO Richard Ruston gave Heinekin until the end of September to reach a deal on the merger of the two companies.
The South African wine and spirit producer announced a three-fold annual profit increase after South Africa ended its COVID-related ban on alcoholic beverages. Distell said it was delaying its dividend payment and will pay it out if talks with Heinekin concluded unsuccessfully.
Heineken confirmed that it was still in negotiations for Distell and that discussions had made progress. Rushton said that there were still material aspects to be agreed on by the end of September: “It’s pretty binary. We will either have covered those aspects successfully or we won’t."
Seeking Alpha contributor Vladimir Dimitrov believes that Heineken stock is a buy and will recover strongly as the economy re-opens.

Heineken to buy S.Africa's Distell and Namibian Breweries

BRUSSELS/JOHANNESBURG (Reuters) -Dutch brewer Heineken (OTC:HEINY) said on Monday it planned to take control of South Africa's Distell Group Holdings and Namibia Breweries Ltd to form a southern Africa drinks group worth 4 billion euros ($4.6 billion).

The takeover of Distell would mark a push into wine and spirits for the world's second-largest beer maker, with liqueur brand Amarula and wines labels Nederburg and Two Oceans. Heineken will sell Distell's British-based Scotch whiskies.

Heineken Chief Executive Dolf van den Brink said the deal would improve logistics and increase points of sale, often shared for beer, wine and spirits in South Africa, and would do the same in Namibia. It also offered growth in other African markets, such as Kenya and Tanzania, he said.

"It should be seen that we now start to buy spirits and wine companies all over the world," Van den Brink told Reuters.

Heineken will pay 1.3 billion euros in cash and add its existing South African business, to secure at least 65% of the new business, the remainder largely held by Distell shareholders who decide to reinvest.

The deal will value Distell at about 40.1 billion rand ($2.6 billion) or 180 rand per share, Distell said, a discount of 1.4% to the stock's Friday close.

Heineken and Distell, the world's largest and second-largest cider makers respectively, have gone head-to-head for the cider market in South Africa since Heineken launched its Strongbow brand there in 2016.

Heineken will take control of regional partner Namibian Breweries Ltd (NBL), with a current market valuation of about 400 million euros.

SIGNIFICANT SYNERGIES

Heineken will buy the 50.01% interest of Ohlthaver & List Group of Companies in NBL Investment Holdings, which holds 59.4% of Namibia Breweries (NBL). Heineken holds the remaining 49.99% of the holding vehicle.

The transaction also entails Heineken's purchase of NBL's 25% shareholding in Heineken South Africa, valuing the whole of the latter at 1.5 billion euros.

Van den Brink said the brewer expected cost synergies in production, logistics and procurement, but no job losses in the near term, along with "significant" revenue synergies.

The overall transaction is expected to increase margins over the medium term and boost earnings per share within the first year after completion.

Distell's deal talks with Heineken were first announced in May.

Distell shares, which shot up then, were trading down 8.0% at 167.84 rand, while Heineken's were up 0.9% at 98.22 euros at 1035 GMT.

The takeovers would be the first major deal for Van den Brink, who took charge at Heineken in June 2020 and has launched a plan to restore profit margins, partly through cutting 8,000 jobs. Heineken did increase its stake to take full control of India largest beer maker United Breweries Ltd in June.

Distell did not pay a dividend for the financial year ended June 30, as a condition for Heineken's takeover proposal.

Distell CEO Richard Rushton said the deal was likely to close by the end of December 2022 and as part of the agreement, shareholders would not be paid any interim or full-year dividend.

In August, Distell reported a more than three-fold rise in its headline earnings per share, the main profit measure in South Africa, as the company recovered from a lengthy coronavirus-related ban on alcohol sales in its home market.

Drugi pod względem wielkości produkcji piwa na świecie Heineken planuje kupić południowoafrykańskie spółki Distell Group Holdings oraz Namibia Breweries. Tym samym ma powstać grupa warta około 4 mld euro.

Wspomniane przejęcia oznaczałyby dla producenta piwa wejście na rynek wina oraz alkoholi wysokoprocentowych. Pierwsza z wymienionych wyżej marek specjalizuje się w produkcji win i likierów, druga zaś – w produkcji whisky. Zdaniem przedstawicieli Heinekena dzięki przejęciu spółka zyska dodatkowe punkty sprzedaży i zwiększy wpływ marki w tym regionie. Dodatkowo, już po roku od połączenia widoczna ma być poprawa przychodów oraz zysków grupy. Jak podkreślił prezes Distella Richard Rushjton, transakcja powinna zakończyć się pod koniec przyszłego roku, a mariaż z Heinekenem nie pociągnie za sobą zwolnień. GSU

W środę holenderski związek zawodowy FNV poinformował, że pracownicy browaru Heineken planują pierwszy strajk od 25 lat. Powodem jest brak porozumienia z pracodawcą w sprawie poprawy warunków finansowania pracy.

Heineken sells more beer than expected as Europe reopens

BRUSSELS (Reuters) -Heineken NV achieved a sharper than expected rise in first-quarter beer sales as European bars reopened, allowing the company to stick to its 2022 forecast despite added uncertainty from the conflict in Ukraine.

Beer volumes rose by 5.2% on a like-for-like basis from the same period last year, the world's second-largest brewer said on Wednesday, beating the 3.5% average forecast in a company- compiled poll.

The increase in Europe was 11.5%, driven by a steady loosening of coronavirus restrictions, with Heineken (OTC:HEINY)'s beer sales in bars and restaurants there almost tripling.

The Dutch maker of Heineken, Sol and Tiger lagers and Strongbow cider said Russia's invasion of Ukraine had brought additional uncertainty to the global economic outlook and commodity markets.

"We expect mounting inflationary pressures to impact household disposable income and a consequent risk to beer consumption later in the year," Heineken said in a statement, echoing a view first expressed in February before Russia invaded Ukraine in what Moscow calls a "special military operation".

Heineken said it was benefiting from hedging positions taken in 2021 but faced rising costs, supply chain challenges and pressure from its decision to leave Russia.

For all that, however, the company maintained its guidance of "stable to modest" improvement to its operating profit margin in 2022.

Heineken had said in February that spiralling inflation could lead to lower beer consumption, casting doubt on its plan to raise its operating margin to 17% in 2023.

The Dutch brewer said then that input costs would rise by a mid-teens percentage rate, with barley double its price of a year ago and aluminium up by about 50%. Energy and freight costs have also risen sharply.
