Kupili obligacje banku, stracili wszystko

Jeśli jednak zdoła przeprowadzić skuteczną restrukturyzację, to będzie mógł mówić o przejęciu jednego ze swoich kluczowych konkurentów – ocenia Grzegorz Dróżdż, analityk Conotoxia.

ZURICH (Reuters) - UBS has hired JPMorgan (NYSE:JPM) to explore a possible IPO of Credit Suisse's domestic business, Zurich based finance blog Inside Paradeplatz reported on Thursday.

Last month UBS agreed to takeover Credit Suisse for 3 billion francs as part of a merger engineered by Swiss authorities, while the Alpine state put up more than 200 billion francs of support and guarantees.

UBS now wants to get down to business quickly.

Speaking at its general assembly last week, Vice Chairman Lukas Gaehwiler said that "all options are on the table" concerning Credit Suisse's domestic business.

He also said it would continue to operate under its old brand in Switzerland for the foreseeable future.

UBS and Credit Suisse declined to comment.

JPMorgan was not immediately available for comment.

Credit Suisse lost $68 billion in assets last quarter, outflows continue

ZURICH (Reuters) -Credit Suisse said on Monday that 61 billion Swiss francs ($68 billion) in assets left the bank in the first quarter and that outflows were continuing, underscoring the challenge faced by UBS Group in rescuing its rival.

Customer deposits declined by 67 billion francs in the quarter and the bank noted many matured time deposits had not been renewed.

"These outflows have moderated but have not yet reversed as of April 24, 2023," Credit Suisse said, adding that most of the money leaving the bank was from its wealth management division and occurred across all regions. The net asset outflow followed 110.5 billion francs pulled by clients from the bank in the fourth quarter.

The 167-year-old bank reported results for what is likely to be the last time, as its state-engineered marriage with UBS is expected to be completed soon. Much of Switzerland's reputation as a trusted global financial centre - particularly for the ultra wealthy - will rest on whether the two globally important systemic banks can be successfully integrated.

Shares in both UBS and Credit Suisse were up roughly 2% in morning trade, with some analysts noting the outflows were not as bad as feared.

But others said the magnitude was alarming.

Credit Suisse's ability to generate revenue appeared to be so damaged that "the deal could well remain a drag on UBS operating results unless a deeper restructuring plan is announced," London-based analyst Thomas Hallett at KBW said in a note to clients.

Assets managed by the flagship wealth management division plunged 29% to 502.5 billion francs at the end of March from the same period last year.

Clients rapidly started pulling money from scandal-plagued Credit Suisse after it was ensnared in market turmoil unleashed by the collapse of U.S. lenders Silicon Valley Bank and Signature Bank (OTC:SBNY).

In the rescue package rushed together by Swiss authorities, UBS agreed to take over Credit Suisse for 3 billion francs in stock and assume up to 5 billion francs in losses. The deal also includes 200 billion francs in state financial guarantees.

Credit Suisse said that at the end of the first quarter, it had 108 billion Swiss francs of net borrowings from the central bank after paying back 60 billion. Since then, it has paid back another 10 billion.

The bank, however, reported a pre-tax profit of 12.8 billion francs, largely due to the controversial writedown to zero of AT1 bonds and a gain from the sale of a big portion of its Securitized Products Group to Apollo Global Management (NYSE:APO). When adjusted for these factors, it had a loss of 1.3 billion francs for the quarter.

The wealth management and investment banking units will continue to be loss-making in the second quarter, Credit Suisse said, adding that the group is also expected to post a loss this year.

UBS, which has flagged that it expects the deal to bring $8 billion in cost reductions by 2027, reports first-quarter earnings on Tuesday. On Monday, it said that Christian Bluhm - whose departure had been previously announced - will continue as its chief risk officer for the "foreseeable future" to work on the takeover.

Other key facts from Credit Suisse's filing on Monday include:

- operating expenses increased 30% from the previous quarter which the bank said was largely due to a goodwill impairment charge and increases in compensation and benefits

- Private clients pulled 6.9 billion francs from the bank's Swiss arm amid questions over the future of the Credit Suisse unit in Switzerland

- Credit Suisse's planned $175 million acquisition of Michael Klein's investment banking business was called off by mutual agreement

- the bank had just over 48,000 full-time employees at the end of the first quarter, a 5% decline from end-December

Investing.com -- UBS Group AG (SIX:UBSG) has said it could stand to lose around $17 billion from its planned merger with smaller rival Credit Suisse (SIX:CSGN), but noted that the tie-up will provide other benefits.

In a regulatory filing, the Swiss bank, which agreed to absorb Credit Suisse following a hastily-arranged round of government-sponsored negotiations in March, said it would incur a hit of $13B from fair value adjustments on financial assets and liabilities. Litigation and regulatory matters would also lead to an additional $4B charge, UBS added.

However, these losses would be offset by a one-time $34.8B gain from pro forma negative goodwill, which occurs when the price paid for an asset is lower than its actual market value.

UBS would also receive a boost worth $17.1B from other factors, including a write-down of Credit Suisse's so-called Additional Tier 1 bonds, or a form of junior debt that holds relatively elevated risk.

The $3.4B emergency acquisition, which UBS plans to close in the second quarter, is expected to present the bank with a series of challenges as it attempts to fold Credit Suisse's ailing business into its operations.

UBS filed an amended F-4 filing with the U.S. Securities and Exchange Commission this week which noted that, due to the rushed nature of the transaction, there was risk that it had limited time to "thoroughly evaluate Credit Suisse and fully plan for its financial condition and associated liabilities." As a result, UBS warned that the rescue could prove to be "considerably more difficult and risky than it had contemplated."

"This could affect the future performance of UBS Group AG, its share price, and its value as an enterprise," it flagged.

Swiss-listed shares in UBS were slightly higher in midday trading on Wednesday.

Niepewność i UBS

(Reuters) -UBS Group is looking to cut more than half of Credit Suisse's workforce  from next month as a result of the bank's takeover, Bloomberg News reported on Tuesday.

Bankers, traders, support staff in Credit Suisse's investment bank in London, New York, and in some parts of Asia are expected to bear the brunt, with almost all activities at risk, the report said.

UBS intends to eventually reduce the total combined headcount by about 30%, or 35,000 people, with headcount at Credit Suisse currently at about 45,000, the report said, citing people familiar with the matter.

As many as 10,000 jobs would be cut if the Swiss domestic businesses of the two banks are merged.

UBS and Credit Suisse declined to comment.

Reuters had last week reported that UBS will cut Asia investment banking jobs at Credit Suisse next month, with significant reduction in investment bankers covering Australia and China.

Earlier this month, UBS Chief Executive Sergio Ermotti warned of painful decisions about job cuts following the takeover of Credit Suisse, but did not give details about the number of potential layoffs.

UBS completed its emergency takeover of embattled rival Credit Suisse in June, forging a Swiss banking and wealth management giant with a $1.6 trillion balance sheet and a workforce of 120,000.

Swiss parliament starts investigation into Credit Suisse collapse

BERN (Reuters) -A Swiss parliamentary investigation into the role played by state institutions in the collapse and emergency rescue of Credit Suisse will take 12 to 15 months to complete, its president said on Thursday.

UBS agreed to buy Credit Suisse for 3 billion Swiss francs ($3.48 billion) in March after panicked customers withdrew cash from their accounts at the stricken lender.

The collapse has proved controversial, with Swiss political parties raising concerns about the huge amount of state aid involved, potential job losses as well as the size of the newly enlarged UBS, already Switzerland's biggest bank.

The investigation is only the fifth of its kind in the country's modern history and the committee of lawmakers conducting it has sweeping powers to call on the Swiss cabinet, finance ministry and other state bodies.

The parliamentary commission will investigate the "legality, expediency and effectiveness of the conduct by the competent authorities and bodies in the context of the Credit Suisse crisis and report to the Swiss parliament," it said in a statement.

After an initial meeting on June 16, the committee held its first regular meeting in Bern on Thursday.

It decided to operate under a duty of strict confidentiality for committee members and people called for questioning, citing the secrecy of information to be disclosed.

The investigation, which is being led by 14 lawmakers from the country's upper and lower houses, will examine how the Swiss government and the finance ministry, acted in the run up to the crash.

It will also scrutinise the role played by financial regulator FINMA as well as the Swiss National Bank.

Commission president Isabelle Chassot, a lawmaker from Die Mitte party, told a briefing in Bern she expected the commission to last 12 to 15 months.

Chassot said the commission could invite anyone to its hearings, but declined to give specifics.

There has been debate in Switzerland whether Credit Suisse bankers, who are not the subject of the inquiry, will be grilled by lawmakers.

"I cannot say who will be invited, but bankers could be invited," Chassot told Reuters. "It depends on the status of the invited person whether they have to come or not.

"If they are a witness, they must attend, if they are here to give information, they can refuse to testify," she said.

The committee was not a judicial authority she said, but a political enquiry which will compile its findings in a report.

"It will point out shortcomings, if there are any," Chassot said, adding it would make recommendations to relevant authorities.
