Thales to sell signalling business to Hitachi in $2 billion deal

PARIS (Reuters) -Thales, Europe's largest defence electronics company, said it was in advanced talks to sell its GTS railway signalling business to Japan's Hitachi (OTC:HTHIY) in a deal that values the division at 1.66 billion euros ($2 billion).

The sale - which confirmed a Reuters exclusive - comes as the French company looks to streamline its sprawling operations and reassure investors of its core focus on making high-tech equipment for the defence and aerospace industries.

Thales shares were up 2.5% in early trading, among the top performers on the French stock market.

"With this major strategic move, we will be able to focus on the development of our 3 high-tech long-term growth businesses, each of them able to sustainably deliver double-digit margins," Thales Chairman and CEO Patrick Caine said in a statement.

Those three businesses are aerospace, defense & security, and digital identity & security.

Hitachi said the acquisition of Thales' GTS arm should help the Hitachi Rail division reach 1 trillion yen ($9.2 billion)worth of revenue by 2026.

The price tag of 1.66 billion euros corresponds to the enterprise value, including debt, of Thales' unit, dubbed Ground Transportation Systems (GTS).

It reflects a multiple of 13.8 times of the unit's 12-month earnings before interest and taxes (EBIT), Thales said in a statement, adding that it expected the deal to close by the end of 2022 or the start of 2023.

Thales also said it was now targeting an EBIT (earnings before interest and tax) margin of 9.8-10.3%, compared to a previous EBIT margin target of 9.5-10%.

The GTS signalling unit, which also offers train control systems and fare collection services, is small compared with competitors.

The sale comes at a time of consolidation in the industry as independent players align themselves with bigger industrial groups.

In January, French train maker Alstom (PA:ALSO) closed its 5.5-billion-euro acquisition of Bombardier (OTC:BDRBF)'s rail business, making it the industry's No. 2 worldwide, after China's CRRC.

Thales (PA:TCFP) stock climbed 1.2% with the French defense company keeping its 2021 financial goals despite a unit losing a major Australian contract. It had lost over 10% in the last two months as rumors that it may lose the contract had started to circulate.

Investing.com - Thales reported on Thursday fourth quarter earnings that missed analysts' forecasts and revenue that topped expectations.

Thales announced earnings per share of €2.53 on revenue of €4.97B. Analysts polled by Investing.com anticipated EPS of €3.27 on revenue of €4,925M.

Thales shares are up 2% from the beginning of the year, still down 3.96% from its 52 week high of €111.20 set on March 1. They are outperforming the STOXX 600 which is down 10.34% from the start of the year.

Thales follows other major Industrials sector earnings this month
Thales's report follows an earnings beat by Airbus Group on February 17, who reported EPS of €1.49 on revenue of €16.99B, compared to forecasts EPS of €1.27 on revenue of €17.11B.

Schneider Electric had missed expectations on February 17 with fourth quarter EPS of €2.89 on revenue of €7.91B, compared to forecast for EPS of €3.02 on revenue of €7.81B.

(Reuters) - Thales won a ten-year contract to deliver advanced tactical radios to the U.S. Army as one of two vendors in a deal with an overall volume of $6 billion, the French defence group said on Monday.

"This contract was awarded as part of an effort (of the U.S. Army) to retire its outdated Single Channel Ground and Airborne Radio System," Thales said in a statement.

Kto najwięcej zarabia na wojnie w Ukrainie
Niemal cały zachodni świat wysyła uzbrojenie na Ukrainę. Sztokholmski Międzynarodowy Instytut Badań nad Pokojem opublikował raport o największych beneficjentach wojny w Ukrainie. Kto najwięcej zarobił na obronie Ukrainy przed rosyjską inwazją?

Rosyjska inwazja na Ukrainę zjednoczyła niemal cały demokratyczny świat. Po kilku dniach na Wschód trafiły setki wyrzutni przeciwpancernych i przeciwlotniczych, tysiące pocisków, a potem coraz cięższy sprzęt - w tym czołgi, transportery opancerzone i samobieżne armatohaubice.

Część z tego sprzętu pochodziła z magazynów mobilizacyjnych, jak polskie RPG-76 Komar czy T-72M. Inne, jak amerykańskie HIMARS-y, pochodzą niemal wprost z fabryki. Niektóre państwa potraktowały wojnę jako okazję to opróżnienia magazynów z amunicji, której kończą się już resursy. W tym przypadku znacznie tańszym rozwiązaniem jest przekazanie amunicji obrońcom, niż jej zutylizowanie.

W każdym z przypadków prędzej czy później te braki darczyńcy będą musieli uzupełnić. O ile w ramach umowy Lend Lease, Ukraina zwróci sprzęt, to i tak trzeba będzie go wyremontować i doprowadzić stanu sprzed walk - robiąc przy okazji modernizację, wynikającą z wojennych doświadczeń.


Miliardy na wojnę
Dotychczas kraje NATO przeznaczyły ponad 8 miliardów dolarów na sprzęt wojskowy dla Ukrainy. Najwięcej przekazali Amerykanie, którzy wysłali sprzęt o wartości 4,6 miliarda dolarów. Brytyjczycy wysłali broń o wartości miliarda dolarów. Dodatkowo Unia Europejska ze wspólnych środków przekazała 2 miliardy dolarów.

To dopiero początek, ponieważ Kongres Stanów Zjednoczonych zatwierdził pakiet wydatków o wartości 9 miliardów dolarów w celu uzupełnienia dotychczas wysłanych dostaw. Dlatego właśnie amerykańskie firmy są największym beneficjentem wojny w Ukrainie.

W czołówce znajdują się Raytheon i Lockheed Martin, które produkują m.in. przeciwpancerne systemy rakietowe Javelin. Na Wschód trafiło ok. 8 tysięcy rakiet w cenie 78 tys. dolarów za sztukę. Sama wyrzutnia wielokrotnego użytku to kolejne 100 tysięcy.

Lockheed Martin produkuje również samobieżne zestawy rakietowe M142 HIMARS i M270 MLRS, które obecnie zbierają laury w Donbasie. Ukraina otrzymała także 50 milionów sztuk amunicji. Od pistoletowej po artyleryjską, na czym prawdopodobnie skorzysta Olin, największy dostawca amunicji dla amerykańskiej armii.

Europejska potęga?
Spośród europejskich producentów najwięcej sprzętu pochodzi z brytyjskiej fabryki BAE Systems i francuskiej Thales. BAE Systems wyprodukowała niemal pół miliona pocisków, które Ukrainę wysłali Brytyjczycy. Również brytyjskie są: 108 haubic M777 kalibru 155 mm oraz przeciwpancerne pociski kierowane MILAN 2, produkowane w ramach spółki z Airbusem i Leonardo.

Z kolei francuski Thales produkuje pociski przeciwlotnicze Starstreak i jednorazowe wyrzutnie pocisków przeciwpancernych NLAW, które buduje wraz ze szwedzkim SAABem. Tych na Ukrainę trafiło ponad 5 tys. sztuk.

Niemiecki Rheinmetall - produkujący m.in. czołgi Leopard i samobieżne haubice PzH2000 - spodziewa się wzrostu sprzedaży nawet o 25 proc. w ciągu najbliższych dwóch lat. Cieszyć się może również Lockheed Martin. Pod wpływem wojny Niemcy zapowiedziały, że kupią 35 myśliwców F-35, a Polska - 500 systemów HIMARS.

Zarobić mogą również polskie zakłady. Pod warunkiem, że otrzymają wsparcie ze strony rządu. Na to raczej nie mogą liczyć. :roll: Wizerunek Polskiej Grupy Zbrojeniowej podważają sami rządzący, którzy jednego dnia chwalą się, że Ukraina zamówiła ponad 50 sztuk Krabów, a kolejnego minister Mariusz Błaszczak ogłasza, że Polska kupi haubice w Korei Południowej. Wizerunkowo nie wygląda to najlepiej i nie jest to jedyny taki przypadek.

Podobnie dzieje się w przypadku produktów Grupy WB – WarMate’a czy systemów łączności. Jak anonimowo informują osoby pracujące w resorcie, Ministerstwo Obrony Narodowej woli amerykańskie produkty od polskich.

Thales (EPA:TCFP) stock fell 1.8% after the French defense and technology group announced that the halt of its Russian business weighed on the aerospace unit, which is expected to take a €70 million hit in 2022.

French defence group Thales to recruit 12,000 staff as orders boom

PARIS (Reuters) - French defence and technology group Thales plans to hire 12,000 new staff this year as there is strong demand across its product range, CEO Patrice Caine said in an interview with French weekly Le Journal du Dimanche.

He said that over the past eight years Thales, which has total staff of 80,000 of which 40,000 in France, had recruited 5,000 to 8,000 people per year and that last year already it had hired 11,500 new staff.

Caine said that all the firm's activities - defence and security, aeronautics and space, identity and digital security, were growing strongly.

"The company is a reflection of its markets, which are all seeing dynamic growth, with needs growing in all our fields of activity," he said.

Caine, who recently met with Ukraine's defence minister, said that France would deliver its Ground Master 200 radar air defence system to Ukraine in May.

Since the start of Russia's invasion of Ukraine on Feb. 24 2022, shares of Thales - Europe's largest arms electronics provider - have risen nearly 60% to new all-time highs, outperforming the Refinitiv Europe Aerospace & Defense index.

President Emmanuel Macron said in January that French military spending would increase by more than a third in coming years, with the 2024-2030 military budget set to rise to 413 billion euros ($447 billion), up from 295 billion euros in the 2019-2025 period as the army adapts to a new security environment following Russia's invasion of Ukraine.

Thales down as defense spending bonanza falls short of expectations

Investing.com -- Thales (EPA:TCFP) stock fell in Paris on Tuesday after the bonanza in European defense spending since the start of Russia's war in Ukraine turned out to be less impressive than hoped.

The French defense and aerospace group said earnings before interest and taxes rose 17% last year to €1.94 billion (€1 = $1.0543). While that was in line with estimates, the result was delivered largely by its digital identity and security unit, whose earnings came in €50 million ahead of expectations at €494M. The aerospace and defense units both reported earnings slightly below consensus forecasts.

Thales stock, which was one of the best performers in European stock markets last year, fell 3.3% in response, even though the group raised its dividend by more than expected to €2.94 from €2.56.

Thales, which makes a wide range of products for the defense and aerospace industry, said its order book rose by 18% to €40.96B last year as western governments scrambled to make up for years of historically low defense spending, in response to Russia's launching of the biggest interstate war in Europe since World War 2.

That raised the book-to-bill ratio, a key metric of the company's near-term outlook, to 1.34. The company said it aims to keep that ratio above 1 this year.

A higher book-to-bill ratio reflects greater certainty of capacity utilization and consequently supports a company's pricing power. That was reflected in Thales raising its cash flow generation target to around €6.5B for the three-year period through 2023.

For 2023, the group sees sales of between €18B and €18.5B, a rise of 4%-7% from 2023 levels.
