Altria, Philip Morris banned from selling IQOS tobacco heating device after British American Tobacco wins court ruling

Altria Group (MO -2.7%) and Philip Morris (PM -2.0%) must end the sale and import of their IQOS heated tobacco device after the U.S. International Trade Commission ruled that it infringed on two patents held by rival R.J. Reynolds, a subsidiary of British American Tobacco (BTI -4.0%).
The ban will take effect in two months after an administrative review process. Philip Morris says it will appeal the decision.
British American Tobacco previously took action against Philip Morris in the U.K., Greece, and other international markets, but courts sided with Philip Morris in those cases.
IQOS is a cigarette alternative that heats, rather than burns tobacco and is the only inhalable tobacco product allowed to say that it exposes buyers to fewer dangerous chemicals than tobacco. It is manufactured by Philip Morris and Altria began selling the product in the U.S. two years ago under a licensing agreement.
The ruling deals a blow to Philip Morris' shift in focus from traditional tobacco to healthier alternatives. The Marlboro maker recently acquired asthma inhaler manufacturer Vectura.

Altria (NYSE:MO) stock rose 1.2% after Goldman Sachs (NYSE:GS) upgraded its stance on the tobacco giant to ‘buy’ from ‘neutral’, citing its lack of exposure to Russia and its strong cash flows.

Altria Group Shares Tumble After Morgan Stanley Downgrade

Altria Group (NYSE:MO) shares have tumbled more than 7% Wednesday after the stock was downgraded to Underweight by Morgan Stanley analyst Pamela Kaufman.

Kaufman also lowered the firm's price target on Altria to $50 from $54, telling investors they are lowering long-term forecasts to reflect the growing competitive threat from PM's SWMA acquisition.

"Near term, we anticipate greater pressures from rising gas prices and weaker consumer sentiment, which should weigh on cigarette volumes and enhance trade down risk," said the analyst.

"MO shares have outperformed the S&P 500 by 27% YTD, and when adjusting for the 7% decline in ABI's price in USD, MO's core business is +29% YTD. The market may continue to move toward a more defensive positioning, but we see risk-reward skewed to the downside given the combination of near-term fundamental pressures and our longer-term concerns about MO's cigarette portfolio, limited RRP offering, and PM's pending SWMA acquisition," added Kaufman.

The firm reduced their Altria price target to reflect IQOS's entry into the US market in 2024 as they see an unfavorable risk-reward with a 24% downside to their $41 bear case and 13% upside to their $61 bull case.

Czy zakaz sprzedaży produktów firmy Juul wpłynie na rynek e-papierosów?

Po dwuletniej analizie ryzyka związanego z paleniem e-papierosów przez nastolatków w porównaniu z korzyściami dla palaczy odchodzących od tradycyjnych papierosów amerykańska Agencja Żywności i Leków (FDA) ogłosiła w czwartek, 23 czerwca, że cofa firmie Juul Lab pozwolenie na wprowadzenie do obrotu produktów do wapowania o smaku mentolowym i tytoniowym.

"W związku z tym firma musi zaprzestać sprzedaży i dystrybucji tych produktów. Ponadto produkty znajdujące się obecnie na rynku amerykańskim muszą zostać usunięte, w przeciwnym razie istnieje ryzyko podjęcia działań egzekwujących przestrzeganie przepisów" - czytamy w komunikacie.

Decyzja ta pokazuje, że FDA przedkłada argumenty o ryzyku związanym z paleniem przez nastolatków nad argumenty o korzyściach płynących z używania e-papierosów jako urządzeń pomagających rzucić palenie.

"To działanie FDA odzwierciedla niezłomne zaangażowanie agencji w staranną ocenę dowodów naukowych, aby zapewnić, że tylko produkty spełniające rygorystyczne normy zdrowia publicznego otrzymają pozwolenie na dopuszczenie do obrotu. FDA podjęła odpowiednie kroki w celu ochrony zdrowia wszystkich Amerykanów" - powiedział w czwartkowym oświadczeniu Xavier Becerra, sekretarz ds. zdrowia i usług społecznych.

Nakaz obejmuje aromaty Virginia o smaku tytoniu o zawartości nikotyny 5,0% i 3,0%, a także pody o smaku mentolu o zawartości nikotyny 5,0% i 3,0%. FDA stwierdziła, że detaliści i dystrybutorzy posiadający produkty Juul powinni skontaktować się z firmą w celu podjęcia dalszych działań.

Zarządzenie FDA nie reguluje kwestii posiadania lub używania urządzeń i produktów Juul przez osoby prywatne.

"W szczególności niektóre wyniki badań przeprowadzonych przez firmę wzbudziły obawy ze względu na niewystarczające i sprzeczne dane" - stwierdziła FDA - "w tym dotyczące genotoksyczności i potencjalnie szkodliwych substancji chemicznych wymywanych z zastrzeżonych przez firmę aromatycznych płynów do e-papierosów - które nie zostały odpowiednio uwzględnione".

W odpowiedzi na komunikat FDA, firma Juul powiedziała, że będzie dążyła do zawieszenia nakazu i może również złożyć odwołanie lub rozważyć pozwanie FDA.

"Z całym szacunkiem nie zgadzamy się z ustaleniami i decyzją FDA i nadal wierzymy, że dostarczyliśmy wystarczające informacje i dane oparte na wysokiej jakości badaniach, aby rozwiązać wszystkie kwestie podniesione przez agencję" - powiedział Joe Murillo, główny dyrektor Juul ds. regulacji, w czwartkowym oświadczeniu.

"Wierzymy, że odpowiednio scharakteryzowaliśmy profil toksykologiczny produktów Juul, w tym porównaliśmy je z tradycyjnymi papierosami i innymi produktami do wapowania, i uważamy, że te dane, wraz z całością dowodów, spełniają ustawowy standard "odpowiedniości dla ochrony zdrowia publicznego"" - kontynuował Murillo.

FDA już od lat próbuje wprowadzić regulacje dotyczące e-papierosów, a w szczególności Juul Labs. Jeszcze przed decyzją w sprawie Juul, agencja odmówiła zatwierdzenia prawie miliona produktów do wapowania od mniejszych producentów na podstawie przepisów z 2016 roku.

Zgodnie z tą zasadą wszystkie e-papierosy wyprodukowane po 2007 roku muszą zostać sprawdzone przez FDA przed wprowadzeniem ich na rynek. FDA miała zakończyć proces przeglądu do września 2021 roku, ale nie dotrzymała terminu. W związku z tym agencja została pozwana przez American Lung Association, tj. amerykańskie stowarzyszenie na rzecz walki z chorobami płuc, w celu przyspieszenia procesu przeglądu. Nawet po złożeniu pozwu FDA jest jeszcze daleka od zakończenia przeglądu wszystkich otrzymanych wniosków.

Również w tym tygodniu FDA ogłosiła, że po raz pierwszy w historii będzie dążyć do uregulowania poziomu nikotyny w papierosach.

E-cigarette maker Juul to explore options including financing

Reuters) -Juul Labs Inc said on Friday it is in the early stages of exploring several options including financing alternatives, as the company deals with lawsuits and a probable ban on sales of its e-cigarettes by U.S. health regulators.

Bloomberg News earlier reported, citing sources, that Juul's bankers at Centerview Partners are sounding out investors for a possible $400 million first-lien term loan due August 2023. (https://bloom.bg/3O9qStl)

The proceeds would help refinance an existing term loan, which has around $394 million outstanding and matures on the same date, the report added.

A spokesperson for Juul told Reuters that the company is looking at options to protect its business and to address the "impact of the FDA's now stayed order so we can continue offering our products to adult consumers who have or are looking to transition away from traditional cigarettes."

Centerview Partners declined to comment when contacted by Reuters.

Bloomberg News in its report said Juul was also considering a new $150 million second-lien term loan, which may have an August 2024 maturity, to help pay down some of the first-lien term loan and to increase liquidity, the report said.

Financing proposals for either loan are due July 21, according to the report.

Last month, the Food and Drug Administration (FDA) blocked sales of Juul e-cigarettes and said the applications "lacked sufficient evidence" to show that sale of the products would be appropriate for public health.

However, Juul appealed the agency's order and earlier this month FDA put on hold its ban saying it would do an additional review of the company's marketing application.

Investing.com - Altria (NYSE:MO) reported on Thursday second quarter earnings that beat analysts' forecasts and revenue that fell short of expectations.

Altria announced earnings per share of $1.26 on revenue of $5.37B. Analysts polled by Investing.com anticipated EPS of $1.25 on revenue of $5.42B.

Altria shares are down 13% from the beginning of the year, still down 22.75% from its 52 week high of $57.05 set on April 21. They are outperforming the Nasdaq which is down 23.09% from the start of the year.

Altria follows other major Consumer Staples sector earnings this month
Altria's report follows an earnings beat by Coca-Cola on Tuesday, who reported EPS of $0.7 on revenue of $11.33B, compared to forecasts EPS of $0.6693 on revenue of $10.54B.

PepsiCo had beat expectations on July 12 with second quarter EPS of $1.86 on revenue of $20.23B, compared to forecast for EPS of $1.74 on revenue of $19.51B

Reuters - Marlboro maker Altria Group (NYSE:MO) Inc on Thursday cut the value of its stake in Juul Labs Inc by about 72% to $450 million as the e-cigarette maker comes under intense regulatory scrutiny with the risk of a complete ban in the United States.

Altria had valued its 35% stake in Juul at $1.6 billion at the end of March. It was valued at $12.8 billion in 2018.

Juul's e-cigarettes were briefly banned in the United States last month, after the Food and Drug Administration ended a two-year-long review of the company's data to conclude it failed to show the sale of its products will be appropriate for public health.

However, following an appeal by the company, the health regulator put the ban on hold and agreed to an additional review of Juul's marketing application.

Altria's stake in Juul is now valued at just 3.5% of its original value, giving the tobacco giant the option to be released from it non-compete clause and invest or engage in the e-vapor business other than through Juul.

However, Altria said it had opted not to be released form those obligations for now.

Altria Group, Inc. (NYSE: MO) 25.08.22 today announced that our Board of Directors voted to increase our regular quarterly dividend by 4.4% to $0.94 per share versus the previous rate of $0.90 per share. The quarterly dividend is payable on October 11, 2022 to shareholders of record as of September 15, 2022. The ex-dividend date is September 14, 2022.

The new annualized dividend rate is $3.76 per share, representing a dividend yield of 8.2% based on our closing stock price of $45.80 on August 24, 2022.

Marlboro maker Altria Group (NYSE:MO) Inc said it had exercised the option to be released from its non-compete deal with Juul Labs Inc, nearly four years after buying a 35% stake in the e-cigarette maker that was then at the zenith of its popularity.

Altria is looking to permanently terminate its non-competition obligations to Juul, give up certain rights including its board designation rights and reduce its voting power, according to a regulatory filing on Friday.

In July, Altria slashed the value of its stake in Juul to $450 million, down from the original value of $12.8 billion, allowing itself the option to be released from the non-compete clause and invest in or engage with any other e-vapor business.

However, it did not seek to be released from the obligations at the time, and said it saw value in its investment rights in Juul.

"The decision to terminate our non-compete maximizes our flexibility to compete in the e-vapor space while maintaining our economic interest in Juul," Altria said on Friday.

A change in its stance means Altria could go it alone or pursue other vaping product makers. Privately owned Njoy, which has already succeeded with its premarket tobacco product application process, could be a takeover target, a few analysts said.

"It's more likely that Altria will seek to buy its way back into the e-cigarette category (which represents 7% of U.S. nicotine sales)," Cowen analyst Vivien Azer said.

"This decision ... increases the financial and strategic options we can pursue to secure our business and address the impact of the (U.S. Food and Drug Administration's) now stayed order," a Juul spokesperson said.

The FDA in June blocked Juul from selling its nicotine products, after a review of data submitted by the company. Juul quickly appealed to temporarily block the order.

(Reuters) - Marlboro maker Altria Group (NYSE:MO) Inc on Thursday announced a strategic partnership with Japan Tobacco in an attempt to boost its smoke-free category.

Altria and JT will jointly establish Horizon Innovations LLC, which would be responsible for U.S. marketing and commercialization of heated tobacco stick (HTS) products owned and developed by either company.

Altria said the joint venture would be through its subsidiary Philip Morris USA that will hold a 75% economic interest in Horizon and Japan Tobacco International, a subsidiary of JT, holding the rest. Altria added it would make an initial $150 million in capital contribution to Horizon.

The companies expect to jointly prepare U.S. Food and Drug Administration (FDA) filings for the latest version of Ploom HTS products that are not currently commercialized and submit pre-market tobacco product applications in the first half of 2025.

The announcement comes just days after Altria's U.S. rights to sell IQOS returned to peer Philip Morris International Inc (NYSE:PM), which was spun off from Altria in 2008 when the group wanted to separate its U.S. and overseas businesses.

Philip Morris agreed to pay $2.7 billion for the exclusive right to sell IQOS heated tobacco products in the United States.

Late September, Altria exercised the option to be released from its non-compete deal with Juul Labs Inc, almost four years after buying a 35% stake in the company.

The FDA, in early July, put on hold its ban on sales of Juul's e-cigarettes in the U.S., after the health agency for a brief period banned its products as data submitted by the company failed to show its products would be appropriate for public health.

Altria Group (NYSE:MO) was reiterated with a Buy rating and $49 per share price target by BofA analysts on Thursday.

The analysts explained that effective January 22, Altria's Philip Morris (NYSE:PM) USA division has announced a list price increase of 15c/per pack on Marlboro, its first increase of 2023, and follows a price boost of +15c in October 2022, July 2022, April 2022, and December 2021.

"Compared to year ago prices, Marlboro's list price increased by ~10%, driven by mgmt's desire to maintain profitability goals. Further, per pack prices for Benson & Hedges, Merit, Nat's, Parliament, and Virginia Slims have been lifted by 20c per pack in MO's latest round of price increases," the analysts said.

They added that Altria's price hikes are less aggressive than British American Tobacco (NYSE:BTI)'s recent U.S. cigarette pricing moves.

"While nicotine is an addictive product, we anticipate these more frequent pricing actions at a time of elevated inflation to drive combustible tobacco users to lower priced nicotine alternatives (oral, vapor and deep discount cigarettes) despite continued employment and wage growth for lower income consumers," wrote the analysts. "We would also note that price gap (Marlboro vs. the lowest effective brand) has widened to nearly 40% (39.8%) as of 3Q22, a level not seen since 2009."

The analysts went on to state that Altria has a "long history of adapting to changes in the U.S. nicotine landscape," and they expect this to continue. The company's shares have climbed 1% in Thursday's session.

Altria Group (MO) reported Q4 EPS of $1.18, $0.01 better than the analyst estimate of $1.17. Revenue for the quarter came in at $5.08 billion versus the consensus estimate of $5.15 billion.
