A TD Ameritrade-Charles Schwab Merger Would Form $5 Trillion Goliath
Charles Schwab (SCHW) has agreed to buy rival TD Ameritrade (AMTD) for $26 billion, surprising Wall Street. The Street had seen both online brokers as the most likely acquirers of E-Trade Financial (ETFC) amid the raging zero-fee wars. Charles Schwab stock and TD Ameritrade stock both jumped, while E-Trade stock tumbled.

Schwab will acquire TD Ameritrade for $26 billion, sources told Fox Business. CNBC first reported that Schwab was nearing a deal to buy its smaller rival. A deal could come as early as today, reports said.

Neither company has confirmed the reports.

"This would create a Goliath in wealth management," CNBC quoted Wells Fargo senior analyst Mike Mayo Thursday. Schwab would bring $3.8 trillion in assets to the combination and TD Ameritrade $1.3 trillion.

Other analysts on Wall Street said the merger was largely about scale, amid industry headwinds.

"The deal ... makes strong strategic sense and provides room for revenue and cost synergies," Kyle Voigt of KBW said in a note. He sees Schwab as better able to monetize Ameritrade's sweep deposits and customer assets over time.

The companies have "very similar businesses," though Charles Schwab is bigger in asset management, Voigt added.

Charles Schwab traci po publikacji rozczarowujących wyników finansowych za Q4

Notowania amerykańskiej firmy Charles Schwab (SCHW 1,06%) tąpnęły po publikacji jej wyników finansowych za czwarty kwartał. Z najnowszego raportu kwartalnego wynika, że zarówno zyski, jak i przychód rozczarowały Wall Street, ale w ujęciu ogólnym spółka dobrze radziła sobie w ostatnich miesiącach i jako nieliczna znajduje się na plusie w skali roku.

Na korzyść Charles Schwab działają przede wszystkim dwa czynniki: zwiększona zmienność rynkowa, która zazwyczaj sprzyja zarządcom aktywami oraz rosnące stopy procentowe. Spółka skorzystała także ze zwiększonego zainteresowania inwestorów indywidualnych w rynki finansowe od początku pandemii koronawirusa.

Wgląd w liczby

Mimo korzystnych warunków wyniki finansowe Schwab za czwarty kwartał okazały się słabsze niż oczekiwali ekonomiści. Skorygowany zysk wyniósł 86 centów na akcję, podczas gdy analitycy spodziewali się 88 centów na akcję. Firma okazała jednak rekordowo wysoki kwartalny dochód netto w wysokości 1,6 mld dolarów, czyli o 65% wyższy w porównaniu z poprzednim rokiem. Zysk za cały rok również był rekordowy: wyniósł 5,9 mld dolarów (o 80% więcej niż w zeszłym roku).

Przychód był równy 4,71 mld dolarów, a Wall Street spodziewała się 4,8 mld dolarów. Wartość nowych aktywów związanych z podstawową działalnością Charles Schwab wyniosła rekordowe 162,2 mld dolarów, w ujęciu całorocznym osiągnęła 558 mld dolarów. Łączna wartość aktywów przekroczyła 8 bln dolarów i była o 22% wyższa niż w zeszłym roku. Firma oświadczyła, że aktywność tradingowa była całkiem wysoka w roku na rok, ale mniejsza niż w pierwszym kwartale 2021 roku.

Ogólnie rzecz biorąc, akcje Charles Schwab są nadal atrakcyjne dla inwestorów, którzy szukają najlepszego rozwiązania, by zyskać ekspozycję na rosnące stopy procentowe. Bank of America downgraded Charles Schwab Corp (NYSE:SCHW) to an Underperform rating (from Buy) and cut the stock’s price target to $75.00 (from $92.00) as investor forecasts show potential for continued elevated client cash sorting in 1H23, as well as an end to the Fed’s interest rate hiking cycle by this summer.

BofA lowered 2023-24 EPS estimates to $4.28/$5.00 from $4.60/$5.25 due mainly to a lower balance sheet and BDA forecast. Analysts see the risks to the Underperform rating as an extension of the Fed rate hiking cycle into 2024 and SCHW’s long-term securities portfolio reinvestment opportunity.

The analysts wrote in a note, “SCHW generated strong relative financial results in 2022 (+20%/+12% EPS/rev growth) in a year in which US equities declined 20-30%. Given that ~60% of SCHW’s revenues stem from interest rate sensitive fee streams, SCHW is arguably the biggest beneficiary of higher interest rates across diversified financials. However, we believe SCHW’s revenue/profit growth will decelerate in 2023 led by balance sheet shrinkage (client cash sorting = excess cash reallocation into higher yielding money market funds & ST bond funds/ETFs) combined with a declining tailwind from rising short-term interest rates (expect Fed “pause” this year).”

They expect this deceleration to occur in parallel with an improving fundamental backdrop for BofA’s asset manager coverage – with the alternative asset manager industry currently trading at trough valuations on trough EPS.

Shares of SCHW are down 2.84% in pre-market trading on Thursday.

On January 26, 2023, Charles Schwab (SCHW) declared a new quarterly dividend rate of $0.25 per share, up 13.6% from the previous quarterly rate of $0.22 per share. This follows two dividend hikes in 2022 for a total increase of 22.2% by Schwab. The dividend yield is 1.3% at a stock price of $75 and the next ex-dividend date is February 9, 2023.

Charles Schwab's drop in margin balances fans SVB contagion jitters

(Reuters) -Charles Schwab on Monday reported a 28% decline in average margin balances and a 4% fall in total client assets for February, piling more pressure on the company amid fears over the fallout from Silicon Valley Bank's collapse.

Its shares tumbled as much as 18% before paring losses to trade about 8.8% down at $53.6 after the company sought to allay investor worries over its liquidity levels and deposits.

"More than 80% of our total bank deposits fall within the (Federal Deposit Insurance Corporation) insurance limits," the company said in a statement.

Charles Schwab (NYSE:SCHW) said it has "access to significant liquidity" including an estimated $100 billion of cash flow from cash on hand, portfolio-related cash flows, and net new assets that the company expects to realize over the next 12 months.

"While we believe Charles Schwab's liquidity and capital are fine, funding costs are moving up and that will pressure revenue growth and operating margin expansion," Morningstar said in a note on Monday.

The company's average margin balances fell to $60.6 billion last month, while total client assets slipped to $7.38 trillion.

Earlier in the day, Citigroup (NYSE:C) analysts said they do not see a material risk to deposits leaving Charles Schwab given its composition but remain concerned about whether there is sufficient liquidity on hand as client assets shift off balance sheet to other instruments.

The brokerage upgraded the company to "buy" from "neutral", but cut the price target to $75 from $83.

Charles Schwab's efforts to reassure investors came as the implosion of SVB Financial Group stoked contagion fears. A failed share sale at the tech lender had drained $42 billion in deposits in a single day and wiped out liquidity.

U.S. lenders First Republic Bank (NYSE:FRC) and Western Alliance (NYSE:WAL) also sought to calm investor worries over their liquidity and deposits on Friday.

Pfizer looks past COVID with $43 billion deal for cancer drug maker Seagen

(Reuters) -Pfizer Inc on Monday struck a $43 billion deal to acquire Seagen Inc and its targeted cancer therapies as it braces for a steep fall in COVID-19 sales and generic competition for some top-selling drugs.

Seagen marks Pfizer (NYSE:PFE)'s largest purchase in a string of recent acquisitions utilizing a once-in-a-lifetime cash windfall from its COVID-19 vaccine and treatment. It will add four approved cancer therapies with combined sales of nearly $2 billion in 2022.

Washington-based Seagen is a pioneer of antibody-drug conjugates, which work like "guided missiles" designed to destroy cancer while sparing healthy cells.

Seagen's shares were trading up more than 16% at $200.93 on Monday, well below Pfizer's offer price of $229, signaling investor concern over a possible prolonged antitrust review. Pfizer shares were nearly 3% higher.

Pfizer's bid represents a 32.7% premium to Seagen's closing price on Friday.

"The Federal Trade Commission (FTC) clearance is sort of the open question at this point with regards to the deal," said Needham & Co analyst Ami Fadia, pointing to an overlap in bladder cancer treatments as an area the FTC could look into.

However, Fadia said there was less than a 50% chance of the FTC challenging the deal in court.

Pfizer, on a conference call to discuss the planned acquisition, acknowledged that antitrust regulators are likely to closely review the deal due to its size, but said the companies expect to be able to complete the transaction in late 2023 or early 2024.

PROTECTION FROM COMPETITION, REGULATORS

Adding Seagen helps Pfizer move into an area "that is more protected from a regulatory and patent perspective, and market dynamics," Chief Executive Albert Bourla said on the call.

Seagen is set to benefit from out-of-pocket healthcare spending caps for older Americans under President Joe Biden's Inflation Reduction Act (IRA), Bourla said, meaning more patients could gain access to the company's expensive treatments.

A focus on complex biotech medicines also provides a longer exclusivity on the market versus pills before becoming subject to government price limits under the IRA, he said. The U.S. Medicare program will be allowed to negotiate drug prices for the first time, with new prices for the initial 10 drugs selected starting in 2026.

Seagen's complicated drugs also make it more difficult for rivals to develop less expensive biosimilar versions, which could lengthen their profitability.

The latest deal comes as Pfizer seeks to mitigate an anticipated $17 billion hit to revenue by 2030 from patent expirations for top drugs, and a decline in demand for its COVID products.

Pfizer's COVID vaccine, which it shares with BioNTech, and oral antiviral treatment Paxlovid have brought in sales of more $90 billion through 2022.

The New York-based drugmaker said the Seagen deal and other recent acquisitions could generate more than $20 billion in combined sales in 2030.

Pfizer's recent deals include its purchase of Global Blood Therapeutics (NASDAQ:GBT) for $5.4 billion, migraine headache drug maker Biohaven Pharmaceutical Holding for $11.6 billion and a $6.7 billion buyout of drug developer Arena Pharmaceuticals.

Pfizer's oncology portfolio already boasts 24 approved therapies. The Seagen purchase would add Adcetris for lymphoma, Padcev for bladder cancers, Tivdak for cervical cancer and breast cancer treatment Tukysa.

Pfizer rival Merck & Co and Seagen were in advanced deal talks last year before they collapsed, according to reports.

Credit Suisse upgraded Charles Schwab (NYSE:SCHW) to Outperform from Neutral while cutting its price target to $67.50 from $81.50, noting it anticipates continued client sorting, but the risks appear manageable and nearing their peak based on current forward curves.

“Central risk to the upgrade would be a significant shift in forward curve expectations – overly hawkish backdrop will keep alive client sorting while overly dovish landscape will ignite peak of cycle EPS worries and raise rotation risk,” said the firm, adding that other potential risks include high consensus EPS expectations and adverse regulatory changes.

Charles Schwab CEO says firm has liquidity, not seeking capital or deals

NEW YORK (Reuters) - Charles Schwab (NYSE:SCHW) has ample liquidity, the chief executive of the bank and brokerage said on Tuesday, moving to allay concerns about a "doomsday scenario" that has weighed broadly on bank stocks after the failure of two U.S. lenders since Friday.

"We have not raised capital and we are not in the market at this point for M&A transactions," Walt Bettinger, CEO of Charles Schwab, told Reuters in an interview.

The firm saw an influx of $4 billion in assets to the parent company on Friday as clients moved assets to Schwab from other firms, Bettinger said.

Schwab on Monday reported that total client assets slid to $7.38 trillion in February, down 4% compared with a year ago.

Bettinger said Schwab was comfortable with the assets on its bank portfolio -- which is separate from its brokerage business -- contrasting it with other companies that had run into trouble.

"Our available for-sale portfolio is short in duration and high in quality, and our held-to-maturity is slightly longer in duration but still short compared to many people, and very high-quality," said Bettinger, who has led Schwab since the 2008 financial crisis.

Banks can classify bonds as “held-to-maturity” (HTM) and are not required to count changes in value if the securities are kept until they are repaid, or they can keep the bonds as “available-for-sale” (AFS), which means they must count unrealized losses against capital, but are free to sell the securities at any time.

Compared to many regional banks that have come under pressure in the last week, Schwab has higher unrealized securities portfolio losses in comparison to its capital levels, said Richard Repetto, a managing director at Piper Sandler.

“That said, due to robust supplemental liquidity sources, we think it is very unlikely that SCHW will ever need to sell HTM securities to meet deposit withdrawal requests,” with $150 billion to $200 billion of available liquidity, he said in a note to clients on Monday.

The pressure on Schwab's stock eased after Bettinger told CNBC earlier on Tuesday that he had bought 50,000 Schwab shares while billionaire investor Ron Baron said he "modestly increased" his position in Schwab.

Schwab's shares closed up 9.2% at $56.68 on Tuesday, along with a broad rise in bank shares. Schwab shares, however, are down 25.6% from their close last Wednesday, the day before many bank shares began a downward spiral in reaction to problems at Silicon Valley Bank. SVB was shut down by regulators on Friday.

About 82% of deposits held by Schwab were insured, falling under the Federal Deposit Insurance Corporation's limit of $250,000.

The bank has "access to significant liquidity" including an estimated $100 billion of cash flow from cash on hand, portfolio-related cash flows, plus new assets.

Charles Schwab CEO says firm could operate in case of deposit flight - WSJ

Investing.com -- Charles Schwab Corp's (NYSE:SCHW) chief executive officer pushed back against concerns that it may become swept up in a crisis engulfing the banking industry, saying in an interview with the Wall Street Journal on Thursday that the financial services firm could still operate even it were to lose most of its deposits.

According to the report, CEO Walt Bettinger said there would still be a "sufficient amount of liquidity" available if all of its deposits in its banking unit disappeared. The company, he added, would not have to "sell a single security."

Bettinger told the paper that any potential funding gaps could be filled through the collection of interest payments on bonds it owns, borrowing from the Federal Home Loan Bank, or by issuing certificates of deposit.

The comments come after Bettinger said last week that the business is still seeing significant levels of asset inflows. He also revealed that he bought 50,000 shares in Charles Schwab for his personal account - a purchase worth about $3 million at the time.

Shares in the tenth-largest U.S. bank have shed around a fourth of their value since Silicon Valley Bank collapsed on March 8, sending shockwaves through the global banking system and leading investors to seek out other lenders who are seeing heavy withdrawals and paper losses on bond holdings.

Like SVB, Schwab invested in long-term bonds which have seen a sizeable chunk of their value fall as the Federal Reserve raises interest rates from near-zero in a bid to curb inflation. However, Bettinger told the WSJ that steps were taken to prepare for this situation, adding that it has around $100 billion from cash on hand, interest payments on bonds it holds, and expected net new assets.
