Walne Zgromadzenie Akcjonariuszy Siemens AG poparło wydzielenie energetycznego działu Siemensa w osobną spółkę. Prezentację nowej firmy przewidziano na 1 września tego roku.

- Podział pozwala nam zbudować dwie firmy skoncentrowane na swoich sektorach, w których obie będą silnymi graczami. Znaczny wzrost ceny akcji Siemens Healthineers od czasu pierwszej oferty publicznej jest satysfakcjonującym przykładem tego, jak koncentracja dodaje wartości – powiedział Joe Kaeser, prezes i dyrektor generalny Siemens AG.

W przyszłości Siemens AG skoncentruje się na branżach cyfrowych, inteligentnej infrastrukturze i mobilności, podczas gdy Siemens Energy skoncentruje się na sektorze energetycznym. Siemens AG zachowa 35,1 proc. udziałów w Siemens Energy, natomiast Siemens Pension Trust zachowa ich 9,9 proc.

Prospekt emisyjny zostanie opublikowany na około dwa tygodnie przed wprowadzeniem akcji do obrotu, które planowane jest na 28 września 2020 r.

Siemens Energy działa na całym świecie w całym łańcuchu wartości energetyki, w tym w sektorze usług. Na koniec marca tego roku firma zatrudniała około 91 000 pracowników na całym świecie. Według połączonego sprawozdania finansowego Siemens Energy AG na dzień 30 września 2019 r. Siemens Energy wygenerowała przychody w wysokości około 29 miliardów euro w roku podatkowym 2019.

Siemens Energy, który we wrześniu zostanie wydzielony z Siemensa, będzie zmniejszał sieć produkcyjną w celu podwyższenia marż, informuje Reuters powołując się na anonimowe źródła.

Koncern spodziewa się, że Siemens Energy osiągnie wartość rynkową znacznie przekraczającą 17 mld euro. Spółka wchodzi na giełdę we Frankfurcie w przyszłym tygodniu, pisze Reuters.

Wartość firmy, która produkuje turbiny gazowe i wiatrowe, wynosi od 21 do 22 mld euro - podało źródło agencji Reutera. Biorąc pod uwagę liczbę akcji Siemens Energy, dałoby to cenę w przedziale od 28,90 do 30,28 euro za sztukę.

Today, Siemens Energy AG began trading on the Frankfurt Stock Exchange. The share's opening price was quoted at 22.01 Euro, which corresponds to a market capitalization of 15,993,460,697.93 Euro.

Siemens Energy i jego spółka zależna Siemens Gamesa Renewable Energy zamierzają wydać 120 mln EUR na sprawdzenie możliwości produkowania na miejscu wodoru korzystając z energii z morskich farm wiatrowych.

Spółki planują budowę prototypu z wykorzystaniem nowej, największej na rynku turbiny Siemens Gamesa o wirniku rozpiętości 222 metrów. Zamierzają umieścić instalacje do produkcji wodoru na platformach umieszczonych w pobliżu turbin. Każda turbina miałaby system elektrolizy o zdolności produkcyjnej 5-10 MW. Pozwoliłoby to obniżyć koszt wodoru, który obecnie jest dużo droższy niż paliwa kopalne.

Siemens Energy likwiduje 7,8 tys. miejsc pracy

Siemens Energy zmniejszy zatrudnienie o 7,8 tys. ludzi. Większość miejsc pracy zlikwiduje w Niemczech i USA.

Niemiecki koncern chce przeprowadzić redukcję zatrudnienia do końca roku rozrachunkowego 2025. 75 proc. zwolnień obejmie stanowiska menedżerskie i w dziale sprzedaży. Z ogólnej liczby 7,8 tys. likwidowanych miejsc pracy 3 tys. zredukuje w Niemczech, a 1,7 tys. w USA.

Siemens Energy joins German DAX in reshuffle

Deutsche Boerse AG said late Wednesday that German energy company Siemens Energy AG has joined its blue-chip DAX index, while Porsche Automobil Holding SE was admitted to the lower-ranking MDAX in a reshuffle.

The German stock-exchange operator said Siemens Energy will replace Beiersdorf AG, which will join the MDAX.

Porsche is replacing Aeral Bank AG in the MDAX, Deutsche Boerse said.

Encavis AG will replace Metro AG and Nordex SE will replace Osram Licht AG in the same index, according to Deutsche Boerse. The companies exiting the MDAX will be joining the SDAX, Germany's smallcap index, Deutsche Boerse said.

The changes will become effective as of March 22, the stock-exchange operator said.

Elsewhere, Siemens Gamesa (MC:SGREN) stock fell 5.3% to its lowest level in a month after JPMorgan (NYSE:JPM) cut its recommendation on the wind turbine maker to neutral from outperform. Chief executive Andreas Nauen had said last week the company would exit certain markets, such as onshore generation in China, and also said it would have to raise its prices by up to 5% to offset higher input costs.

W piątek Siemens Energy obniżył swoje całoroczne prognozy. Jednocześnie jego dział turbin wiatrowych ostrzegł, że w 2022 roku gwałtownie rosnące koszty surowców wpłynął na marże.

Siemens Energy reviews outlook as troubles at wind division deepen

FRANKFURT (Reuters) - Siemens Energy is reviewing its full-year outlook after wind turbine division Siemens Gamesa unveiled deeper-than-expected operating problems and rising costs that together triggered a substantial quarterly loss.

Siemens Energy also said the operating environment had become more challenging due to the war in Ukraine as well as sanctions imposed on Russia, adding it could not rule out further negative effects on sales and profits in 2022.

So far, the company has expected a margin on adjusted earnings before interest, tax and amortisation (EBITA) before special items in a range of 2% to 4% in 2022. Sales were expected to develop in a range of negative 2% to plus 3%.

The company pointed to Siemens Gamesa, in which Siemens Energy owns 67%, as a reason for the outlook review. Siemens Gamesa earlier cited ramp-up problems of its next-generation class of onshore turbines, which it said were "more complex than previously understood".

The Spanish-listed firm also blamed "further pressure on energy, commodities and transportation costs, availability of key turbine components, harbor congestion, and delayed customers' investment decisions" for a 304 million-euro ($328 million) operating loss in the second quarter.

Siemens Gamesa Chief Executive Officer Jochen Eickholt, a former Siemens Energy board member who took over at the wind turbine maker in March to get a better handle on the situation, said management was now working on a turnaround programme.

"In the six weeks since taking over as CEO I have been asking questions and drilling down into every part of the business to get an understanding of the issues and coming to conclusions about how to address them," he said.

Siemens Energy's second-quarter order intake fell 27.5% to 7.9 billion euros and the group swung to an adjusted loss before interest, tax and amortisation before special items of 21 million euros, down from a 288 million-euro profit last year.

Siemens Gamesa (BME:SGREN) stock rose 11% after Siemens Energy (ETR:ENR1n) confirmed it’s preparing a bid to buy the remaining third of the Spanish-listed wind turbine maker it does not already own.

Investing.com -- Siemens (ETR:SIEGn) stock fell to a new two-year low on Friday after the German engineering giant counted the cost of spiraling problems at its energy unit.

By 09:20 AM ET (1320 GMT), Siemens AG ADR (OTC:SIEGY) shares in New York were down 2.2% in premarket at $51.08. The German-listed stock had earlier fallen as low as €95.01 before paring losses.

Siemens said it would write down the value of its 35% stake in Siemens Energy (ETR:ENR1n) to reflect the sharp drop in the latter's share price over recent months, which has seen a succession of profit warnings from the division's biggest asset, wind turbine maker Siemens Gamesa Renewable Energy (BME:SGREN). The impairment will lead to an after-tax non-cash charge of €2.8 billion ($2.93 billion) in its upcoming quarterly results on August 11.

Gamesa has been hit by massive cost inflation for its raw materials, and by component shortages resulting from the pandemic. Those have made it all but impossible for the company to deliver turbines profitably, after prices were bid down by years of ferociously competitive bidding in auctions to equip new wind farms around Europe and the rest of the world.

Siemens has already said it won't take part in any capital-raising measures needed by Siemens Energy to finance the €4 billion buyout of Gamesa's minority shareholders. Siemens Energy announced that step in May, hoping that full control of the company would help it turn its finances around.

Siemens spun its energy business off just under two years ago, one of the last in a series of unbundling transactions that aimed to make the sprawling conglomerate more flexible and dynamic. Its exposure to the wind sector made it a favorite play of growth investors in the early stage of the pandemic, but the stock has lost over two-thirds of its value from its 2021 peak and around one-third of its initial value at the time of the spin-off.

Siemens Energy stock has also struggled this year due to the fact that much of its conventional power business, making equipment for fossil fuel power stations, is based in Russia and Ukraine. The company is at the center of the ongoing dispute between Russia and Germany over gas supplies: Russia has attributed the 60% cut in its shipments to Germany to Siemens' inability to return equipment for a compressor station that was sent for maintenance in Canada. Canadian sanctions on Russia have led to it being trapped in Canada.

Germany's government has pointed out that Russian gas monopoly Gazprom (MCX:GAZP) has chosen not to reroute supplies through other pipelines, however.

Siemens Energy (ETR:ENR1n) bucked the trend Monday, its stock falling 3.9% after the supplier of equipment to the power industry warned of a deeper than previously expected net loss in 2022, announcing a charge of around 200 million euros ($204 million) due to the restructuring of its business in Russia.
