Ladbrokes owner Entain hikes offer for rival Enlabs to $440 million

Shares in Entain ENT, 0.86% rose more than 2% on Monday, after the U.K. gambling company raised its offer for rival Swedish sports betting firm Enlabs.

The FTSE 100 company said it had increased its all-cash offer from SEK40 per share to SEK53 per share, giving Enlabs, which operates brands such as Optibet and NinjaCasino, a valuation of SEK3.7 billion ($440 million).

In a statement to the stock market, Entain GMVHY, +0.50% said around 51% of shareholders had already accepted the offer, which it said was final.

Shares in Entain, which have risen more than 27% so far this year, were 2.48% higher in early morning London trading on Monday.

Entain GMVHF, +0.99%, which renamed itself from GVC Holdings in January, is one of the world’s largest sports betting and gaming groups operating in the online and retail sector, and owns brands including Ladbrokes, Coral, Bwin and Partypoker.

Ladbrokes owner shares hit record high as investors bet on new MGM bid

(Reuters) -Shares of Entain, which rejected a takeover offer from MGM Resorts (NYSE:MGM) this year, jumped to a record high on Wednesday after a $4.4 billion asset sale by the U.S. casino group prompted bets of a renewed bid for the British bookmaker.

Entain, which owns the Ladbrokes (LON:LCL) and Coral brands, knocked back a $11 billion offer from MGM in January as too low. But some investors expect that MGM's sale of its stake in MGM Growth Properties (NYSE:MGP) will give it fresh cash that could spur MGM to make another bid for Entain, analysts said.

"Investors have been debating the likelihood of MGM returning with an improved bid for ENT since its first unsuccessful bid," Davy analyst Michael Mitchell said via email.

"The market believes (MGM's) strengthened balance sheet, following today's news, has increased the possibility of the same."

MGM said in its announcement on Wednesday that the stake sale would give it "$11.6 billion of domestic operations liquidity available to enable execution of its goals of becoming the premier gaming entertainment company".

American gambling firms had been tapping into the expertise of British rivals in the past year as sports betting has taken off in the United States during the coronavirus crisis and following a landmark ruling in 2018, which legalised such bets.

William Hill was taken over by Caesars (NASDAQ:CZR) Entertainment while Gamesys agreed in March to a possible takeover by Bally's Corp.

When it dropped plans to bid for Entain in January, MGM said it would not submit a revised offer. Under UK takeover rules, the U.S. firm was precluded from bidding for Entain for six months after walking away. The six-month window expired on July 19.

Entain, previously known as GVC, and MGM declined to comment.

The companies continue to collaborate on their 50/50 BetMGM joint venture in the United States.

Entain's shares rose 8% to an all-time peak and were the top gainer on the FTSE 100 index, while other British gambling companies Flutter and 888 Holdings also rose between 3% and 5% after MGM's announcement.

M&A activity on Tuesday also boosted sentiment. Shares of British sports betting and gambling company Entain Plc surged 18.0% on a report that U.S. sports betting firm DraftKings (NASDAQ:DKNG) made a $20 billion cash-and-stock offer to buy the company.

Entain Tumbles as Slowdown in Online Gambling Hits 2Q

Investing.com -- Entain (LON:ENT) shares fell 12% on Thursday to an 18-month low after the owner of the Ladbrokes and Coral betting chains reported a sharp slowdown in online gaming revenue in the first half of the year, suggesting that the boost it had from locked-down customers during the pandemic is fading faster than previously thought.

Entain consequently cut its guidance for the year, saying it no longer expects revenue from online gaming to grow. It had previously forecast an implicit increase of between 5% and 10%. Entain said total online revenue fell by 7%, with sports betting revenue down by 6% and other gaming revenue down 9%.

"A weaker macro-economic environment is reducing customers' rate of spend, moderating overall Online growth versus our previous expectations," the group said.

Its first-half performance was rescued by its U.K. betting shops, which were able to stay open uninterruptedly through the winter after suffering from widespread COVID-19 lockdowns the previous year. Revenue from its retail outlets rose 244% over the first half, with a 79% year-on-year improvement even in the second quarter, which had a tougher comparable baseline.

However, investors tend to focus more on the online business which, through its partnership with MGM Resorts (NYSE:MGM) in the U.S., has the greater growth potential. The company is also growing in Europe and expects to complete its acquisition of Dutch-based BetCity in the second half of this year.

Entain stock is now trading below where it was when its U.S. partner MGM abandoned its offer to buy the company in January 2021.

Entain's forecasts stil can't incorporate the impact of new rules which the U.K. government had hoped to bring in this year, including a possible 1% levy on earnings that is aimed to help deal with the growing problem of gambling addiction across the U.K.

The Department for Digital, Culture, Media and Sport, which is drafting the Gambling Act review, has however repeatedly postponed its publication, and the resignation of Prime Minister Boris Johnson on Thursday makes a further delay likely, inasmuch as it is likely to paralyze government activity through the summer while the Conservative Party chooses a new leader. Before Johnson's resignation, indications had been that the government was prepared to let bookmakers pay the levy on a voluntary basis.

"The macro-economic outlook is uncertain, however, the underlying performance of our business remains strong," Entain Chief Executive Jette Nygaard-Andersen said in a statement.

Ladbrokes Owner Entain Predicts Online Gaming Growth in Q4

Investing.com -- Shares in Entain PLC (LON:ENT) rose on Thursday after the gambling firm said it expects its key online gaming business to grow in the fourth quarter when compared to the same period last year.

In a trading statement, the owner of Ladbrokes and Coral described its performance as "healthy" heading into the final three months of its 2022 fiscal year, with the online division in particular seen benefitting from an easing of prior year figures and the completion of its acquisition of Dutch sports betting firm BetEnt.

Soccer's World Cup tournament, which is scheduled to begin in November, is also predicted to boost annual returns.

Full-year group earnings before interest, tax, depreciation and amortization are forecast to be in line with Entain's prior guidance of between £925M - £975M, which would amount to annual growth of 5% - 10%.

"Looking ahead, we remain vigilant of the economic backdrop. However, our diversified revenue base and robust business model enable us to remain confident in our ability to deliver on our growth and sustainability strategy," said Entain Chief Executive Officer Jette Nygaard-Andersen.

Despite the anticipated boost in fourth quarter demand, the company did not change its previous guidance that annual online gaming revenue growth would stagnate in 2022. Entain lowered its outlook for the unit in July down from an expectation for mid- to high-single digit growth, citing a "weaker economic environment" that had eaten away at consumers' willingness to make bets on games and sports.

Ladbrokes owner focuses on acquiring, not being acquired
Ladbrokes owner Entain has set its sights on being an acquirer after being spurned by former bidder MGM, hoping to find growth in new markets as affordability measures eat into UK revenue.

The betting operator was seen as an acquisition target for much of 2021 and 2022, but last month Entain’s shares plummeted when MGM CEO Bill Hornbuckle revealed that his business was no longer interested in buying the Ladbrokes owner.

CFO Rob Wood told the Standard that whether Entain is an acquisition target doesn’t change anything about how it does business.

“It doesn’t change anything at all,” he said. “We have our own strategy, we’re growing tremendously well. We are extremely excited by and focused on our own growth.”

That strategy involves Entain itself becoming a buyer, snapping up popular betting brands in new markets as revenue growth in its core regions like the UK - where affordability checks introduced in anticipation of the Government reforms have cost roughly 10% of revenue - runs out.

“We very much are looking to continue with more acquisitions into 2023,” he said. “We did nine last year and I would like to do more.”

Entain makes Brazilian push with media site acquisition
Ladbrokes owner Entain has bought football news site 365scores, in a deal that could be a key springboard for its operations in Brazil.

The deal extends Entain’s operations into the media space for the first time, but also offers it a local presence in Brazil, which could become a requirement when the country introduces new sports betting laws this year. Brazil is 365Scores’ top market according to Similarweb and the company has an office in São Paulo.

An Entain spokesperson said the betting group had no indication of whether the deal will have an impact on licensing.

Entain will pay £120 million up front, plus £8 million in contingent payments.

“The combination of 365scores' deep expertise in data-driven sports media content alongside Entain's global scale and market leading platform capabilities will provide customers with a broader offering of interactive content and experiences,” the Entain board said.

“The acquisition unlocks further growth opportunities and supports our global strategic ambitions.”

Entain hailed a "strong" start to 2023, with first-quarter net gaming revenue up 15%.

Acquisitions keep Ladbrokes owner growing as UK arm stalls amid reform delays
Ladbrokes owner Entain leaned on acquisitions and the US to keep growing as UK online revenue dipped while the company awaits a package of reforms that appears to have been delayed further.

Organic revenue was flat, but Entain noted that without the UK and Germany - where reforms also hit the company - revenue would have grown by 6%.

In the UK, the company put in place a number of changes to get out ahead of widely expected government reforms such as ‘affordability checks’ for high-spending customers. It says will cost it £110 million per year.

However, while the white paper laying out these reforms was originally scheduled for 2021, it has still not been published. Reports last month said publication could come yesterday, but it did not materialise.

While organic revenue was flat, the acquisition of Dutch betting site BetCity helped ensure the company’s overall revenue was up by 16%. Revenue growth also would have been higher if the figures included Entain’s American joint venture BetMGM, which has grown rapidly as states legalise sports betting.

Ladbrokes owner Entain slumped as it said it is seeking a deferred prosecution agreement over alleged bribery at its former Turkish business, and that it was facing a potentially "substantial" financial penalty.
